Social Media Sharing Agreement

Version 1.0 — Master Agreement

This Agreement governs access to and participation in The Community — the social media, content-sharing, networking, communication, and community features of the INthe-Q™ Platform.

This INthe-Q™ Community Social Media Sharing Agreement ("Agreement") governs access to and participation in the social media, content-sharing, networking, communication, and community features made available through the INthe-Q™ platform, websites, dashboards, applications, and related services (collectively, the "Platform").

The Platform is operated by JCLV Enterprises LLC dba Rebel Boom and Rebel Boom Live, or such other affiliated or successor entity as may lawfully operate the INthe-Q™ Platform ("INthe-Q™," "Platform," "Company," "we," "us," or "our").

By accessing, creating, maintaining, or participating in an INthe-Q™ Community account, Community page, Fan Club, Show Campaign community, or any other Community feature, the individual or entity doing so ("User," "you," "your," or "Community Member") acknowledges that they have read, understood, and agreed to be bound by this Agreement.

If you do not agree to this Agreement, you may not access or participate in The Community.

Article 1

Purpose and Scope

1.1 The Community

INthe-Q™ provides an integrated social media and content-sharing environment known as "The Community."

The Community is designed to enable eligible users to connect with Artists, fans, Fan Clubs, Show Campaigns, GEM Worldwide™, entertainment companies, venues, and other participating members of the INthe-Q™ ecosystem.

The Community may include, without limitation:

  • personal profile pages
  • public pages
  • private pages
  • Fan Club pages
  • Show Campaign communities
  • Artist communities
  • company and GEM Worldwide™ communities
  • photographs
  • videos
  • written posts
  • comments
  • likes
  • shares
  • invitations
  • follows or other connection features
  • messaging or communication features where offered
  • external social-media links
  • social-media handles
  • embedded or linked third-party content
  • notifications
  • activity feeds
  • other social networking or content-sharing functionality introduced by INthe-Q™ in the future

1.2 Value-Added Community Service

The Community constitutes a value-added service and benefit associated with an eligible INthe-Q™ Reservation.

The Community is not represented as a charitable service, donation service, securities offering, ownership interest, or separate charitable contribution.

The purchase of an INthe-Q™ Reservation may provide the purchaser with access to The Community and other benefits described in the applicable Reservation & Ticketing Agreement, Platform Terms, or other applicable agreements.

1.3 Relationship to the Reservation

An eligible Reservation provides the Reservation Holder with access to The Community in accordance with the requirements established by INthe-Q™.

The first qualifying Reservation purchased by a User establishes eligibility for full Community social-media functionality, subject to this Agreement.

The existence, availability, continuation, or termination of a particular Show Campaign does not necessarily determine whether The Community itself continues to operate.

1.4 No Guarantee of Event Occurrence

Access to The Community does not constitute a guarantee that a particular Show Campaign will reach its required Reservation threshold, enter a Buy Window, result in ticket purchases, or result in an event being produced.

The rights and obligations relating to Show Campaigns, Reservations, Buy Windows, ticket purchases, event production, and Reservation Fees are governed by the applicable INthe-Q™ agreements.

Article 2

The Fan Alliance Network

2.1 FAN

The broader membership and social structure associated with The Community may be known as the Fan Alliance Network ("FAN").

FAN represents two complementary functions within the INthe-Q™ ecosystem.

First, FAN represents the financial-support relationship through which participating fans and Reservation Holders contribute to the economic support of Artists through the INthe-Q™ Reservation model, including applicable distributions between the Artist and Platform as established by the applicable agreements.

Second, FAN represents the social membership network through which participating fans and Community Members connect, communicate, share content, support Artists, participate in Fan Clubs, and interact within The Community.

Accordingly, Fan Alliance Network is intended to represent both Financial Support for the Artists and a Private Membership Social Media Network.

2.2 Fan Club

A "Fan Club" is a community, membership group, page, or other social environment associated with an Artist, Show Campaign, or other authorized participant within the INthe-Q™ ecosystem.

Fan Club participation may be subject to additional terms established in the applicable INthe-Q™ Fan Club Agreement.

2.3 Community Member

A "Community Member" is an eligible User who has purchased at least one eligible INthe-Q™ Reservation and has therefore satisfied the mandatory Reservation requirement for full participation in The Community and activation of the applicable Community social-media functionality within the User's registered INthe-Q™ dashboard.

Article 3

Eligibility and Community Access

3.1 Reservation-Based Access

Full participation in The Community and full activation of the Community social-media functionality within a User's registered INthe-Q™ dashboard requires the purchase of at least one eligible INthe-Q™ Reservation.

A User who wishes to become a full Community Member and fully activate and use the social-media functions available through their registered INthe-Q™ dashboard must purchase at least one Reservation in any qualifying Show Campaign featured, promoted, or made available through the INthe-Q™ ecosystem.

A Reservation may be associated with any qualifying Show Campaign featured, promoted, or made available through:

  • RebelBoom.com
  • INtheQ.com
  • the INthe-Q™ Platform
  • authorized INthe-Q™ websites or applications
  • authorized GEM Worldwide™ campaigns
  • other authorized INthe-Q™ distribution channels

The User is not required to purchase a Reservation to the particular Show Campaign associated with the Community page, Artist, Fan Club, or content the User wishes to view or participate in. A single eligible Reservation in any qualifying Show Campaign may satisfy the Reservation requirement for full Community access, subject to this Agreement and applicable Platform requirements.

3.2 Reservation Fees Apply to Every Reservation

Every Reservation purchased by a User is a separate transaction and is subject to the applicable Reservation Fee, including the $9.99 Reservation Fee where applicable, plus any additional fees, taxes, charges, or other amounts disclosed to the User at checkout.

The purchase of a first Reservation does not waive, eliminate, reduce, credit, or otherwise modify the Reservation Fee applicable to any subsequent Reservation.

A User who purchases multiple Reservations for multiple Show Campaigns shall be responsible for the applicable Reservation Fee and any applicable additional checkout charges for each individual Reservation purchased.

3.3 First Reservation and Community Activation

The User's first qualifying Reservation establishes eligibility for full Community social-media functionality within the User's registered INthe-Q™ dashboard.

Once the User satisfies the mandatory one-Reservation requirement, the User does not need to purchase another Reservation solely to maintain, reactivate, or regain Community social-media functionality, except where access has been terminated or restricted pursuant to this Agreement or another applicable INthe-Q™ agreement.

3.4 Additional Reservations

After becoming a Community Member, a User may purchase additional Reservations for multiple Show Campaigns.

Each additional Reservation:

  • is a separate transaction
  • is subject to its own applicable Reservation Fee
  • is subject to any additional fees, taxes, charges, or other amounts disclosed at checkout
  • is associated with the specific Show Campaign selected by the User
  • receives its own unique Reservation Number or other unique identifying reference
  • is separately recorded in the User's "Reservations" section of their INthe-Q™ dashboard

Additional Reservations do not require the User to purchase additional Community access.

3.5 Lifetime Community Platform Access

Upon the purchase of at least one eligible INthe-Q™ Reservation, and subject to the User's continued compliance with this Agreement and all other applicable INthe-Q™ terms and policies, the User's registered INthe-Q™ account shall be eligible for full activation of the Community social-media functionality associated with the User's INthe-Q™ dashboard for the lifetime of the INthe-Q™ Platform, subject to the provisions of this Agreement.

For purposes of this Agreement, this access is referred to as "Lifetime Community Platform Access."

Lifetime Community Platform Access is associated with the User's registered INthe-Q™ account and is not limited to the particular Show Campaign for which the User purchased the qualifying Reservation.

The User may log out of the INthe-Q™ Platform and subsequently log back into their registered account using their authorized security credentials without being required to purchase another Reservation solely for the purpose of reactivating or maintaining their Community social-media dashboard access.

Lifetime Community Platform Access does not eliminate, reduce, waive, credit, or otherwise modify the Reservation Fee applicable to any Reservation.

For the avoidance of doubt:

  • the User's first qualifying Reservation establishes eligibility for Lifetime Community Platform Access;
  • every subsequent Reservation remains subject to its own applicable Reservation Fee, including the $9.99 Reservation Fee where applicable, plus any additional fees, taxes, charges, or other amounts disclosed at checkout;
  • each Reservation constitutes a separate Show Campaign transaction;
  • each Reservation shall have its own unique Reservation Number or other unique identifying reference; and
  • additional Reservations do not require the User to purchase additional Community access because Community access has already been activated through the User's first qualifying Reservation.

3.6 Lifetime Does Not Mean Irrevocable

For purposes of this Agreement, "lifetime" means the lifetime of the INthe-Q™ Platform and The Community as an operating service. It does not mean:

  • the lifetime of the individual User
  • the lifetime of a particular Show Campaign
  • an irrevocable perpetual license
  • an ownership interest in The Community
  • a guarantee that every Community feature will remain available
  • a guarantee that The Community or the INthe-Q™ Platform will continue to operate indefinitely

Community access remains subject to this Agreement, applicable law, and the rights of INthe-Q™ and any successor owner or operator described herein.

3.7 Access Levels

INthe-Q™ may establish different access levels, including:

  • Public Visitor — an individual who may view publicly available Community content without being a full Community Member;
  • Invited Visitor — an individual who has been invited to view a private page or private Community content but does not otherwise qualify as a full Community Member;
  • Community Member — an eligible Reservation Holder authorized to fully participate in The Community;
  • Fan Club Member — a Community Member participating in a particular Fan Club; and
  • Other Authorized Users — Artists, GEM Worldwide™ Companies, venues, administrators, moderators, staff, partners, or other users authorized by INthe-Q™.

INthe-Q™ may modify or expand these categories as the Platform evolves.

Article 4

Public and Private Community Pages

4.1 User-Controlled Visibility

Where the functionality is available, a Community Member may designate their Community page or certain content as:

  • public
  • private
  • restricted
  • invitation-only
  • otherwise limited according to the privacy controls offered by INthe-Q™

4.2 Public Pages

Content designated as public may be visible to other Community Members, visitors, or the general public, depending upon the functionality selected by the User and the technical configuration of the Platform.

Users should not post information publicly that they do not wish others to see, copy, share, save, or otherwise access.

4.3 Private Pages

A Community Member may invite another individual to access a private page where such functionality is available.

An invited individual may be permitted to view private content without being granted full Community participation rights.

An invited person who wishes to become a full Community Member and fully activate and use all available Community social-media functions within their registered INthe-Q™ dashboard must purchase at least one eligible INthe-Q™ Reservation.

The invited person is not required to purchase a Reservation for the particular Show Campaign, Artist, Fan Club, page, or content to which the person was invited.

Until the mandatory Reservation requirement has been satisfied, an invited person may be permitted to view certain private content but shall not be entitled to full Community participation.

4.4 Limited Access for Invited Non-Members

An invited person who has not purchased an eligible Reservation may be restricted from:

  • commenting
  • posting
  • uploading content
  • liking
  • sharing
  • participating in Fan Clubs
  • interacting with other Community Members through restricted functions
  • using other full Community functionality

4.5 Responsibility for Privacy Settings

Each Community Member is responsible for selecting and maintaining their preferred privacy settings.

INthe-Q™ cannot guarantee that a privacy setting will prevent unauthorized access in every circumstance, including where content is intentionally shared by another authorized viewer, copied, captured, recorded, reproduced, or redistributed outside the Platform.

Article 5

Community Features

Subject to availability and applicable access rights, The Community may provide Users with the ability to:

5.1 Create and Maintain a Profile

Users may create a Community profile containing information they choose to provide, subject to this Agreement.

5.2 Upload Photographs

Community Members may upload photographs and other permitted images subject to the content requirements of this Agreement.

5.3 Upload Videos

Community Members may upload videos and audiovisual content subject to the content requirements, copyright provisions, technical limitations, and other requirements of this Agreement.

5.4 Post Content

Community Members may publish text, comments, descriptions, links, images, videos, and other permitted material.

5.5 Like Content

Community Members may interact with permitted content through "likes," reactions, or substantially similar features.

5.6 Comment

Community Members may comment on permitted content.

5.7 Share Content

Community Members may share permitted Community content within The Community or through other functionality made available by INthe-Q™.

5.8 Invite Other Users

Community Members may invite other individuals to view their pages or participate in The Community, subject to applicable limitations and anti-spam requirements.

5.9 Connect With Other Members

INthe-Q™ may provide tools that allow Community Members to follow, connect with, subscribe to, or otherwise interact with other Community Members, Artists, Fan Clubs, GEM Worldwide™ Companies, venues, or other authorized participants.

5.10 Modification of Features

INthe-Q™ may add, modify, restrict, suspend, replace, or discontinue Community features at any time as part of the development and operation of the Platform, subject to this Agreement and applicable law.

Article 6

The "Inside + Outside" Community

6.1 Integrated Social Environment

The Community is intended to provide both an "Inside Community" within INthe-Q™ and connections to the broader "Outside Community" consisting of independent third-party social media and online platforms.

6.2 External Social-Media Profiles

Where functionality is provided, Community Members may enter and display links, usernames, handles, channel information, or other identifiers associated with their external social-media accounts. These may include, without limitation:

  • Facebook
  • Instagram
  • YouTube
  • X
  • Snapchat
  • TikTok
  • LinkedIn
  • other social-media platforms
  • personal websites
  • Artist websites
  • streaming services
  • other online destinations

6.3 User-Controlled External Links

External social-media links are supplied by the User and are intended to allow other Users to connect with that User outside the INthe-Q™ Platform.

INthe-Q™ does not control the content, policies, security, availability, functionality, algorithms, advertising, privacy practices, or business operations of third-party platforms.

6.4 No Endorsement

The appearance of an external social-media link within an INthe-Q™ profile does not constitute an endorsement, sponsorship, partnership, representation, or affiliation between INthe-Q™ and the third-party platform unless expressly stated otherwise.

6.5 Third-Party Terms

When a User leaves the INthe-Q™ Platform and accesses a third-party website, application, service, or social-media platform, the User becomes subject to the applicable terms, policies, and practices of that third party.

INthe-Q™ is not responsible for the operation, content, security, privacy practices, or availability of third-party services.

Article 7

User-Generated Content

7.1 User Ownership

Subject to the rights granted to INthe-Q™ under this Agreement, a User retains ownership of the original intellectual property rights that the User lawfully owns in content submitted to The Community ("User Content").

7.2 User Responsibility

The User is solely responsible for User Content submitted, uploaded, transmitted, posted, displayed, or otherwise made available through The Community.

The User represents and warrants that they have all rights, permissions, licenses, consents, and authority necessary to submit the User Content and grant the rights provided to INthe-Q™ under this Agreement.

7.3 License to INthe-Q™

By submitting User Content to The Community, the User grants INthe-Q™ a worldwide, non-exclusive, royalty-free, transferable and sublicensable license, for the duration permitted by applicable law and for as long as reasonably necessary to operate, maintain, improve, promote, secure, and provide the Platform and The Community, to host, store, reproduce, process, transmit, display, perform, distribute, format, resize, adapt, technically modify, and otherwise use the User Content as reasonably necessary for those purposes.

This license does not transfer ownership of the User's underlying intellectual property to INthe-Q™.

7.4 Technical Processing

Users acknowledge that User Content may be technically processed, compressed, reformatted, resized, encoded, converted, cached, duplicated, or otherwise modified as reasonably necessary for storage, transmission, display, compatibility, security, or operation of The Community.

7.5 Public Content

When a User voluntarily makes User Content publicly accessible, the User acknowledges that other persons may view, access, share, reproduce, screenshot, record, or otherwise redistribute that content.

INthe-Q™ cannot guarantee that publicly available content will remain within the Platform.

7.6 Private Content

INthe-Q™ will apply the privacy settings and access controls made available through the Platform; however, no online service can guarantee absolute security or confidentiality.

A User should not place highly confidential, sensitive, or personally dangerous information in a Community page merely because the page has been designated private.

Article 8

Prohibited Content and Conduct

Users shall not use The Community to upload, publish, transmit, distribute, facilitate, promote, or otherwise make available content or conduct that:

  • violates applicable law
  • infringes copyright, trademark, patent, trade-secret, publicity, privacy, or other rights
  • impersonates another person or entity
  • contains fraudulent, deceptive, or materially misleading information
  • threatens, harasses, stalks, intimidates, or targets another person
  • promotes violence or unlawful conduct
  • exploits, abuses, or endangers minors
  • contains unlawful sexually explicit material or exploitative content
  • discloses another person's private or confidential information without authorization
  • constitutes spam or unauthorized mass solicitation
  • contains malware, viruses, malicious code, or harmful software
  • attempts to gain unauthorized access to another account or the Platform
  • manipulates likes, views, shares, rankings, or other engagement metrics through fraudulent means
  • uses automated systems, bots, scripts, or scraping tools without authorization
  • promotes scams, fraudulent schemes, or deceptive financial activity
  • unlawfully advertises regulated goods or services
  • interferes with the operation or security of The Community
  • circumvents access restrictions or account controls
  • creates accounts for the purpose of evading suspension or termination
  • uses another person's account without authorization
  • otherwise violates the Community Rules or other policies established by INthe-Q™

INthe-Q™ reserves the right to determine, in its reasonable discretion and subject to applicable law, whether content or conduct violates this Agreement.

Article 9

Content Moderation and Platform Safety

9.1 Moderation Rights

INthe-Q™ may, but is not obligated to, monitor, review, screen, moderate, restrict, remove, disable, or otherwise manage User Content.

9.2 No General Monitoring Obligation

INthe-Q™ does not undertake an obligation to monitor every User, post, comment, photograph, video, message, profile, link, or activity occurring within The Community.

9.3 Removal or Restriction

INthe-Q™ may remove or restrict access to User Content where it reasonably believes that:

  • the content violates this Agreement
  • the content violates applicable law
  • the content infringes another person's rights
  • the content creates a security or safety risk
  • the content exposes INthe-Q™ or another person to legal liability
  • the content is fraudulent, abusive, or deceptive
  • removal or restriction is otherwise reasonably necessary to protect The Community or its Users

9.4 Account Restrictions

INthe-Q™ may temporarily or permanently:

  • restrict an account
  • suspend an account
  • remove particular functionality
  • restrict posting
  • restrict commenting
  • restrict sharing
  • restrict invitations
  • remove content
  • disable a Community page
  • terminate Community access

9.5 Emergency Action

INthe-Q™ may take immediate action where necessary to address an imminent security, fraud, safety, legal, or operational threat.

Article 10

Copyright and Intellectual Property

10.1 Respect for Intellectual Property

INthe-Q™ respects intellectual-property rights and expects Community Members to do the same.

10.2 No Unauthorized Uploads

Users shall not upload or distribute content that they do not have the legal right to use.

This includes music, photographs, videos, artwork, performances, recordings, trademarks, logos, written material, and other protected content.

10.3 Third-Party Content

A User who uploads content containing another person's intellectual property is responsible for obtaining all necessary permissions.

10.4 Complaints and Removal

INthe-Q™ may establish procedures for receiving and responding to claims of copyright or other intellectual-property infringement.

INthe-Q™ may remove or restrict allegedly infringing content while a dispute is investigated or resolved.

10.5 Repeat Infringers

INthe-Q™ may suspend or terminate accounts of Users who repeatedly submit content that infringes the rights of others.

Article 11

Community Member Responsibilities

Each Community Member agrees to:

  • provide accurate information where required
  • maintain the security of their account
  • protect their login credentials
  • maintain appropriate privacy settings
  • comply with this Agreement
  • respect other Community Members
  • respect intellectual-property rights
  • use the Platform lawfully
  • promptly report unauthorized account access
  • refrain from abusing Community functionality
  • refrain from attempting to manipulate Community engagement metrics
  • refrain from circumventing access controls
  • accept responsibility for activity occurring through their account, except to the extent caused by unauthorized access not reasonably attributable to the User
Article 12

Invitations and Community Growth

12.1 Invitations

Community Members may invite other individuals to view or access their Community pages where such functionality is provided.

12.2 No Abuse of Invitations

Invitations may not be used for:

  • spam
  • harassment
  • deceptive marketing
  • phishing
  • fraudulent activity
  • unauthorized commercial solicitation
  • circumvention of Community access requirements

12.3 Mandatory Reservation Requirement for Full Community Membership

An invited person who wishes to become a full Community Member and fully activate and use all available Community social-media functions within their registered INthe-Q™ dashboard must purchase at least one eligible INthe-Q™ Reservation.

The required Reservation may be purchased in any qualifying Show Campaign featured, promoted, or available through the INthe-Q™ Platform or authorized INthe-Q™ distribution channels.

The invited person is not required to purchase a Reservation for the particular Show Campaign, Artist, Fan Club, page, or content to which the person was invited.

The purchase of a minimum of one eligible Reservation is the mandatory condition for full Community Membership and full activation of the applicable Community social-media functionality.

12.4 Subsequent Reservations

Once a person has become a Community Member, any additional Reservation purchased by that Community Member remains a separate Reservation transaction and is subject to the applicable Reservation Fee, including the $9.99 Reservation Fee where applicable, plus any additional fees, taxes, charges, or other amounts disclosed at checkout.

Lifetime Community Platform Access does not waive or reduce the applicable Reservation Fee for subsequent Reservations.

12.5 Anti-Growth Manipulation

Users may not create artificial accounts, automated accounts, fake identities, or other mechanisms designed to artificially inflate Community membership, engagement, reservations, views, followers, likes, or other metrics.

Article 13

Community Data and Analytics

INthe-Q™ may collect and process information relating to Community activity in accordance with the applicable INthe-Q™ Privacy Policy and applicable law.

Such information may include, where legally permitted:

  • account information
  • Community participation
  • Reservation status
  • pages viewed
  • interactions
  • likes
  • shares
  • comments
  • invitations
  • campaign participation
  • technical information
  • device information
  • usage information
  • other information necessary to operate and improve The Community

INthe-Q™ may use aggregated, anonymized, or otherwise lawfully processed information to analyze Platform performance, improve services, measure demand, develop products, understand Community activity, and support business operations.

Article 14

Commercial and Promotional Activity

INthe-Q™ may permit Artists, GEM Worldwide™ Companies, venues, sponsors, partners, and other authorized participants to promote lawful entertainment-related products, services, events, campaigns, or opportunities within The Community.

INthe-Q™ may establish additional rules governing:

  • advertising
  • sponsored content
  • promotional posts
  • commercial accounts
  • affiliate relationships
  • paid placements
  • campaign promotion
  • contests
  • giveaways
  • sponsorships
  • other commercial activity

Users may not conduct unauthorized mass marketing, spam, fraudulent solicitation, or deceptive commercial activity through The Community.

Article 15

Third-Party Services

The Community may contain links to, integrations with, or functionality provided by third parties.

INthe-Q™ does not control third-party services and does not guarantee their availability, accuracy, security, content, privacy practices, or performance.

A User's use of third-party services is governed by the applicable third-party terms.

INthe-Q™ may discontinue or modify third-party integrations at any time.

Article 16

Platform Availability and Content Storage

INthe-Q™ strives to maintain reliable Community services but does not guarantee that The Community will:

  • always be available
  • operate without interruption
  • be error-free
  • be secure against every possible threat
  • preserve every item of User Content indefinitely
  • remain unchanged

Content may become unavailable due to:

  • maintenance
  • technical failure
  • security incidents
  • account termination
  • policy violations
  • storage limitations
  • third-party service interruptions
  • legal requirements
  • changes to Platform functionality
  • other circumstances beyond INthe-Q™'s reasonable control

Users are responsible for maintaining independent copies of important User Content.

Article 17

Acquisition, Sale, Transfer, or Discontinuation of The Community

17.1 Community Is a Platform Service

The User expressly acknowledges and agrees that The Community is a value-added social-media service operated as part of the INthe-Q™ Platform and is not a separately owned asset or permanent service purchased by the User.

17.2 Acquisition or Transfer

If INthe-Q™, the INthe-Q™ Platform, or substantially all of the assets, intellectual property, technology, or business associated with INthe-Q™ are sold, transferred, merged, acquired, reorganized, licensed, or otherwise transferred to another person or entity, the successor owner or operator shall have the right, subject to applicable law and binding contractual obligations, to determine whether The Community will continue to operate.

17.3 Successor's Right to Discontinue

A successor owner or operator, including a purchaser such as a major entertainment company, technology company, media company, venue company, or other enterprise, may elect not to operate or maintain the INthe-Q™ Community social-media service.

If the successor owner or operator elects to discontinue The Community, it may, subject to applicable law:

  • permanently discontinue The Community
  • remove the Community social-media functionality from the INthe-Q™ Platform
  • remove or disable Community social-media functions from User dashboards
  • discontinue Community profiles and pages
  • discontinue Fan Club social-media functionality
  • discontinue Community posting, commenting, liking, sharing, invitation, video, photograph, and other social-media functions
  • remove Community-related interfaces, databases, feeds, or other infrastructure
  • discontinue the Fan Alliance Network as a social-media network
  • discontinue or modify the ability of Users to connect external social-media accounts through their INthe-Q™ dashboards
  • otherwise terminate or materially modify the social-media component of the INthe-Q™ Platform

17.4 Lifetime Access Subject to Platform Continuation

The User acknowledges that Lifetime Community Platform Access is expressly subject to the continued existence and operation of The Community and the INthe-Q™ Platform.

Accordingly, Lifetime Community Platform Access does not constitute an irrevocable perpetual license, ownership interest, guaranteed lifetime service, or contractual guarantee that The Community or its social-media functionality will continue to operate for the lifetime of the User.

If The Community is discontinued pursuant to this Article, the User's Lifetime Community Platform Access shall terminate upon the effective date of such discontinuation, subject to any rights or obligations that cannot lawfully be terminated.

17.5 Separate Reservation Rights

The discontinuation of The Community shall not, by itself, cancel, modify, or extinguish any separate contractual rights or obligations relating to a valid Reservation, ticket purchase, Show Campaign, Artist agreement, GEM Worldwide™ agreement, or other transaction unless expressly provided under the applicable agreement or otherwise permitted by applicable law.

17.6 Notice

Where reasonably practicable and legally permitted, INthe-Q™ or its successor may provide Users with advance notice of a planned discontinuation of The Community.

17.7 No Ownership Interest

The User expressly acknowledges that the purchase of an eligible Reservation provides access to The Community as a value-added Platform service and does not constitute the purchase of an ownership interest in, or perpetual contractual right to, the INthe-Q™ Community social-media network.

Article 18

Reservation Status and Community Access

INthe-Q™ may establish rules governing Community access when:

  • a Reservation is cancelled
  • a Reservation expires
  • a Show Campaign terminates
  • a campaign does not reach its required threshold
  • a Reservation is transferred
  • a ticket is purchased
  • an account is suspended
  • an account is terminated
  • a User otherwise ceases to qualify for Community access

Except as otherwise expressly provided in this Agreement, once the User has satisfied the initial Reservation requirement, the User does not need to purchase another Reservation solely to maintain Lifetime Community Platform Access.

The termination or modification of access to The Community does not alter or supersede the separate contractual rights and obligations governing a Reservation, ticket, Show Campaign, Artist relationship, or other transaction.

Article 19

Disclaimer Regarding User Content

INthe-Q™ does not endorse, guarantee, verify, or assume responsibility for User Content merely because such content is displayed through The Community.

Opinions expressed by Community Members are their own.

INthe-Q™ does not guarantee that User Content is accurate, truthful, lawful, complete, reliable, or appropriate.

Users interact with other Community Members at their own discretion and risk.

Article 20

User Indemnification

To the maximum extent permitted by applicable law, a User agrees to indemnify and hold harmless INthe-Q™, JCLV Enterprises LLC, Rebel Boom Live, their affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and representatives from claims, liabilities, damages, losses, costs, and expenses arising from or relating to:

  • the User's breach of this Agreement
  • User Content
  • the User's violation of another person's rights
  • the User's unlawful conduct
  • the User's misuse of The Community
  • the User's unauthorized use of another person's account
  • claims arising from content or materials submitted by the User
Article 21

Limitation of Liability

To the maximum extent permitted by applicable law, INthe-Q™ and its affiliates shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

  • use of The Community
  • inability to access The Community
  • User Content
  • interactions between Community Members
  • third-party social-media platforms
  • external links
  • loss of User Content
  • unauthorized access
  • interruption of service
  • other Community-related activity

except to the extent such limitation is prohibited by applicable law.

Article 22

Suspension and Termination

INthe-Q™ may suspend or terminate a User's Community access for violation of this Agreement, applicable law, Community Rules, security requirements, or other legitimate Platform requirements.

A User may cease participating in The Community at any time, subject to any separate obligations under applicable INthe-Q™ agreements.

Termination of Community access does not automatically terminate other agreements between the User and INthe-Q™.

Sections that by their nature should survive termination — including intellectual-property rights, content licenses, disclaimers, indemnification, limitations of liability, dispute provisions, and other continuing obligations — shall survive termination to the extent permitted by law.

Article 23

Modifications to This Agreement

INthe-Q™ may modify this Agreement from time to time to reflect:

  • changes in Platform functionality
  • new Community features
  • changes in applicable law
  • security requirements
  • changes in business operations
  • changes in third-party services
  • other legitimate operational requirements

Where required by applicable law, INthe-Q™ will provide notice of material changes and obtain any legally required consent.

The updated Agreement will become effective according to the effective date stated in the revised Agreement.

Article 24

Relationship to Other INthe-Q™ Agreements

This Agreement operates together with the other agreements and policies governing the INthe-Q™ ecosystem. These may include, without limitation:

Where a provision of this Agreement specifically governs social-media participation, User Content, Community access, or Community conduct, this Agreement shall govern that subject matter.

Where another INthe-Q™ agreement specifically governs a Reservation, ticket transaction, Artist relationship, GEM Worldwide™ relationship, payment obligation, or other separate transaction, that agreement shall govern its specific subject matter.

Article 25

No Transfer of Platform Ownership

Participation in The Community does not grant a User any ownership interest in:

  • INthe-Q™
  • the INthe-Q™ Platform
  • The Community
  • FAN
  • Fan Clubs
  • GEM Worldwide™
  • INthe-Q™ technology
  • Platform intellectual property
  • trademarks
  • software
  • databases
  • algorithms
  • business methods
  • other proprietary rights of INthe-Q™

Community access is a limited, revocable right subject to this Agreement.

Article 26

No Partnership or Agency

Participation in The Community does not create a partnership, joint venture, employment relationship, agency relationship, franchise, fiduciary relationship, or other legal relationship between a Community Member and INthe-Q™.

A Community Member may not represent that they are an employee, agent, representative, partner, or authorized spokesperson of INthe-Q™ unless expressly authorized in writing.

Article 27

Governing Law and Dispute Resolution

This Agreement shall be governed by the governing law and dispute-resolution provisions established in the applicable INthe-Q™ Master Platform Agreement, except to the extent otherwise required by applicable law.

Where the User is subject to a separate agreement containing mandatory arbitration, jurisdiction, venue, or dispute-resolution provisions, those provisions shall apply according to their terms.

Nothing in this Article shall limit any non-waivable rights or remedies provided to consumers under applicable law.

Article 28

General Provisions

28.1 Entire Agreement

This Agreement, together with the policies and agreements expressly incorporated herein, constitutes the agreement governing a User's participation in The Community.

28.2 Severability

If any provision is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.

28.3 Waiver

Failure by INthe-Q™ to enforce any provision shall not constitute a waiver of its right to enforce that provision in the future.

28.4 Assignment

INthe-Q™ may assign or transfer this Agreement in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, reorganization, or other lawful business transaction.

A User may not assign their rights or obligations under this Agreement without INthe-Q™'s prior written consent, except where otherwise required by law.

28.5 Electronic Acceptance

Electronic acceptance, account creation, continued use, or other legally recognized electronic assent may constitute acceptance of this Agreement.

28.6 Headings

Section headings are provided for convenience and do not affect interpretation.

28.7 Language

This Agreement may be translated into additional languages. In the event of a conflict, the controlling version shall be determined in accordance with applicable law and the governing terms of the INthe-Q™ Platform.

Article 29

Definitions

For purposes of this Agreement:

"Artist"
means an individual or entity participating in an INthe-Q™ Show Campaign or otherwise authorized to participate in the Platform.
"Community" or "The Community"
means the INthe-Q™ social media, networking, communication, content-sharing, and community environment.
"Community Member"
means an eligible User who has purchased at least one eligible INthe-Q™ Reservation and has satisfied the mandatory Reservation requirement for full participation in The Community and activation of the applicable Community social-media functionality within the User's registered INthe-Q™ dashboard.

Upon satisfaction of the one-Reservation requirement, the User becomes eligible for Lifetime Community Platform Access, subject to the User's continued compliance with this Agreement and the continued operation of The Community and the INthe-Q™ Platform.

The Community Member's first qualifying Reservation establishes eligibility for Lifetime Community Platform Access and is not required to be associated with the particular Show Campaign, Artist, Fan Club, or Community content in which the Community Member subsequently participates.

Additional Reservations purchased by a Community Member are separate Show Campaign Reservations, each of which shall be separately recorded in the Community Member's Reservations section and identified by its own unique Reservation Number or other unique identifying reference.

Each additional Reservation remains subject to its own applicable Reservation Fee, including the $9.99 Reservation Fee where applicable, plus any additional fees, taxes, charges, or other amounts disclosed at checkout, regardless of whether the Community Member has previously activated Lifetime Community Platform Access.

For the avoidance of doubt, Community Member status and Lifetime Community Platform Access do not constitute ownership of, or a perpetual or irrevocable contractual right to, The Community, the INthe-Q™ Platform, or any particular Community feature.
"Fan Alliance Network" or "FAN"
means the broader INthe-Q™ fan membership network representing both the financial-support relationship between fans and participating Artists and the private membership social-media network operated through The Community.
"Fan Club"
means an authorized fan community or membership group associated with an Artist, Show Campaign, or other authorized participant.
"GEM Worldwide™"
means the Global Enterprise Markets program through which qualifying entertainment companies and other authorized organizations may participate in the INthe-Q™ ecosystem.
"INthe-Q™"
means the technology platform, network, websites, applications, services, systems, and related infrastructure operated by or on behalf of the Company.
"Lifetime Community Platform Access"
means the User's eligibility to access and use the applicable Community social-media functionality within the User's registered INthe-Q™ dashboard for the lifetime of the INthe-Q™ Platform, subject to this Agreement and the continued operation of The Community.
"Reservation"
means an eligible reservation purchased through an authorized INthe-Q™ transaction and subject to the applicable Reservation & Ticketing Agreement.
"Reservation Fee"
means the fee applicable to each Reservation purchased by a User, including the $9.99 Reservation Fee where applicable, together with any additional fees, taxes, charges, or other amounts disclosed to the User at checkout.
"Reservation Holder"
means the person or entity holding an eligible Reservation.
"Show Campaign"
means an Artist, entertainment, event, venue, GEM Worldwide™, or other campaign presented through the INthe-Q™ Platform for the purpose of validating demand, facilitating Reservations, or otherwise providing access to an INthe-Q™ entertainment opportunity.
"User Content"
means photographs, videos, text, comments, graphics, links, profile information, recordings, audiovisual material, and other material submitted, uploaded, posted, transmitted, displayed, or otherwise made available by a User through The Community.

Article 30 — Acknowledgement

By accessing or participating in The Community, the User acknowledges and agrees that:

  • The Community is an integrated social environment within the INthe-Q™ ecosystem;
  • full Community participation requires the purchase of at least one eligible INthe-Q™ Reservation;
  • the first qualifying Reservation activates the User's Community social-media functionality;
  • the User's Community social-media access continues for the lifetime of the INthe-Q™ Platform, subject to this Agreement;
  • the User must pay the applicable Reservation Fee for every Reservation purchased, including the $9.99 Reservation Fee where applicable, plus any additional fees, taxes, charges, or other amounts disclosed at checkout;
  • Lifetime Community Platform Access does not waive, reduce, credit, or replace the Reservation Fee applicable to subsequent Reservations;
  • the qualifying Reservation may be purchased through any eligible Show Campaign available through the INthe-Q™ ecosystem and does not have to relate to the particular Show Campaign, Artist, Fan Club, page, or content the User wishes to access;
  • each Reservation is a separate transaction associated with its applicable Show Campaign and is assigned its own unique Reservation Number or other identifying reference;
  • FAN / Fan Alliance Network represents both financial support for participating Artists and the social membership network of The Community;
  • Users may create public or private Community pages where functionality is available;
  • invited individuals may receive limited access to private pages without automatically becoming full Community Members;
  • full Community participation requires satisfaction of the mandatory Reservation requirement;
  • Users may connect their INthe-Q™ Community identity to external social-media platforms;
  • external social-media platforms are independent third-party services;
  • Users retain ownership of their lawfully owned User Content, subject to the license granted to INthe-Q™ under this Agreement;
  • Users are responsible for the content they submit;
  • INthe-Q™ may moderate, remove, restrict, suspend, or terminate content or accounts in accordance with this Agreement and applicable law;
  • Lifetime Community Platform Access does not constitute ownership of The Community or an irrevocable guarantee that The Community will continue to operate;
  • a successor owner or operator of INthe-Q™ may discontinue The Community and remove its social-media functionality from the INthe-Q™ Platform, subject to applicable law and contractual obligations; and
  • participation in The Community is subject to the terms and conditions established by INthe-Q™ as the Platform develops and expands.
