Our Promise to Fans

Welcome to INthe-Q™.

INthe-Q™ is designed to change the way live entertainment demand is measured.

Rather than relying solely upon historical ticket sales, projections, assumptions, or traditional market forecasting, INthe-Q™ provides a private Fan Alliance Network™ through which participating Fans can demonstrate verified interest in a particular Artist and Show Campaign.

Every Reservation represents an individual Fan’s genuine interest in attending a potential live entertainment experience.

INthe-Q™ may operate Show Campaigns in individual markets, including Las Vegas, or through GEM™ — Global Enterprise Markets, a separate multi-market participation model available to qualified companies and participating Artists.

By participating, the Fan becomes part of a private community designed to provide measurable Fan Demand and Fan Verification information to Artists, promoters, entertainment companies, venues, and other authorized industry participants.

INthe-Q™ does not guarantee that every Show Campaign will become an event.

A Reservation is a demonstration of Fan interest and participation in the INthe-Q™ demand-validation process.

Overview

Purpose of the FAN Club™

The FAN Club™ is the Fan Alliance Network™ operated through the INthe-Q™ Platform.

The FAN Club™ provides participating Fans with the ability to:

  • establish an INthe-Q™ Member account;
  • participate in Show Campaigns;
  • submit Reservations;
  • demonstrate verified Fan Demand;
  • receive eligibility for applicable ticket-purchase opportunities;
  • receive applicable Reservation benefits;
  • participate in the INthe-Q™ Community Social Media features;
  • and participate in the INthe-Q™ community associated with participating Artists and Show Campaigns.

The FAN Club™ is not an investment program, securities offering, ownership program, or financial product.

Participation provides only the rights and benefits expressly described in this Agreement and the applicable INthe-Q™ Platform agreements.

Article 1

Purpose of This Agreement

This INthe-Q™ FAN Club™ Membership & Reservation Agreement (“Agreement”) establishes the terms and conditions governing a Fan’s participation in the INthe-Q™ Platform and FAN Club™.

This Agreement applies to Fans who:

  • create an INthe-Q™ account;
  • join the FAN Club™;
  • submit a Reservation;
  • participate in a Single Show / Single Market Show Campaign;
  • participate in a GEM™ Show Campaign;
  • purchase tickets during an applicable ticket-purchase period;
  • access INthe-Q™ Community Social Media features;
  • or otherwise participate in the INthe-Q™ Platform.

This Agreement shall be read together with:

Article 2

Acceptance of This Agreement

By selecting “I Agree,” creating an account, joining the FAN Club™, submitting a Reservation Fee, activating applicable Platform features, purchasing a ticket, or otherwise participating in the INthe-Q™ Platform, the Fan acknowledges and agrees that:

  • the Fan has read this Agreement;
  • the Fan understands the rights and obligations described herein;
  • the Fan agrees to comply with this Agreement and applicable Platform policies;
  • the Fan’s electronic acceptance constitutes a legally binding electronic signature to the maximum extent permitted by applicable law.

If the Fan does not agree to these terms, the Fan must not register for or participate in an INthe-Q™ Show Campaign.

Article 3

FAN Club™ Membership

Upon successful registration and payment of the applicable Reservation Fee, the Fan becomes a participating member of the FAN Club™ — Fan Alliance Network™ for the applicable Show Campaign.

FAN Club™ Membership permits the Fan to participate in the INthe-Q™ demand-validation process and receive applicable benefits described in this Agreement.

FAN Club™ Membership does not create:

  • ownership in JCLV Enterprises LLC;
  • ownership in Rebel Boom Live;
  • ownership in INthe-Q™;
  • ownership in any Artist;
  • partnership rights;
  • shareholder rights;
  • voting rights;
  • royalty rights;
  • profit-sharing rights;
  • dividend rights;
  • investment rights;
  • or any expectation of financial return.

Membership is personal to the registered Fan and may not be transferred except where expressly authorized by Rebel Boom Live.

Article 4

Single Show / Single Market Campaigns and GEM™ Show Campaigns

INthe-Q™ may operate two principal types of Show Campaigns.

A. Single Show / Single Market Campaign

A Single Show / Single Market Campaign is a Show Campaign established for one Artist and one proposed market.

The Campaign may be operated directly by Rebel Boom Live and may be conducted in Las Vegas or another single market determined by Rebel Boom Live.

The Artist Participation Agreement applicable to an independent Artist may establish the applicable production, compensation, venue, ticketing, travel, and performance terms.

The Fan’s rights and obligations remain governed by this Agreement regardless of the market in which the Show Campaign is conducted.

B. GEM™ Show Campaign

A GEM™ Show Campaign is conducted through GEM™ — Global Enterprise Markets, the multi-market platform operated under the applicable GEM agreements.

A GEM Company may establish multiple participating cities and markets for an Artist Campaign, subject to the applicable GEM rules and contractual requirements.

GEM Show Campaigns may involve substantially larger Reservation Campaigns, multiple markets, larger venues, and multi-tier ticket pricing.

The Fan does not become a party to the GEM Company Agreement or the GEM Artist Agreement merely by participating in a GEM Show Campaign.

The Fan’s participation is governed by this Agreement and applicable INthe-Q™ Platform terms.

Article 5

Reservation Spot

A Reservation is a Fan’s individual participation in a specific INthe-Q™ Show Campaign.

A Reservation:

  • is not a ticket;
  • is not a guarantee of admission;
  • is not a guarantee that a Show Campaign will become an event;
  • does not guarantee a specific venue;
  • does not guarantee a specific date;
  • does not guarantee a specific seat;
  • does not guarantee ticket availability;
  • and does not create any ownership or financial interest in the Artist, Platform, or Show Campaign.

A Reservation represents the Fan’s verified expression of interest in potentially attending the applicable Show Campaign.

Each Reservation is associated with the specific Show Campaign selected by the Fan.

Article 6

Reservation Fee

Participation in each INthe-Q™ Show Campaign requires payment of a US $9.99 Reservation Fee.

The Reservation Fee applies per Reservation Spot and per Show Campaign.

The Reservation Fee applies regardless of whether the Fan participates in:

  • a Single Show / Single Market Campaign;
  • a Las Vegas Show Campaign;
  • another Single Show Market;
  • or a GEM™ multi-market Show Campaign.

The Fan acknowledges that receiving permanent access to INthe-Q™ Community Social Media features does not eliminate the Reservation Fee applicable to future Show Campaigns.

Accordingly, after the Fan’s first qualifying Reservation activates the Fan’s Community Social Media access, every subsequent Reservation submitted for another INthe-Q™ Show Campaign remains subject to the applicable US $9.99 Reservation Fee.

Article 7

Payment Processing Fee and Total Checkout Amount

The applicable checkout may include a separate payment-processing charge.

Unless otherwise stated at checkout:

Reservation Fee US $9.99
Payment Processing Fee US $0.30
Illustrative Total Checkout Amount US $10.29

The payment-processing charge is separate from the Reservation Fee.

Actual payment-processing charges, settlement amounts, taxes, currency conversion charges, or other applicable charges may vary where required by the applicable payment processor, payment method, jurisdiction, or applicable law.

The amount displayed to the Fan at checkout shall control the Fan’s actual payment obligation.

Article 8

Reservation Allocation

The full US $9.99 Reservation Fee constitutes the Reservation Allocation applicable to the Fan’s Reservation.

The Reservation Allocation is allocated between the Platform and the participating Artist according to the applicable INthe-Q™ contractual allocation.

Subject to applicable payment-processing procedures, taxes, legal requirements, and settlement mechanics, the Reservation Allocation is intended to be divided on a fifty-percent (50%) / fifty-percent (50%) basis between:

  • the Platform Allocation; and
  • the Artist AID Allocation™.

The Reservation Allocation applies equally to eligible Single Show / Single Market Reservations and eligible GEM™ Show Campaign Reservations.

The Fan acknowledges that the Reservation Allocation does not create any ownership or control rights over either the Platform Allocation or Artist AID Allocation™.

Article 9

AID Allocation™ — Artist Incentive Dollars™

The Artist’s portion of the Reservation Allocation shall be referred to as AID Allocation™ — Artist Incentive Dollars™.

The sole purpose of the AID Allocation™ is to provide an incentive for participating Artists to participate in the INthe-Q™ Platform, engage with Fans, support their Show Campaigns, and participate in the INthe-Q™ demand-validation model.

The AID Allocation™ is not:

  • a donation;
  • an investment;
  • a security;
  • equity;
  • ownership;
  • a dividend;
  • interest;
  • a royalty;
  • a profit-sharing interest;
  • a loan;
  • a deposit;
  • or a financial return to the Fan.

The Fan does not acquire any right to direct, control, restrict, recover, or dictate how the Artist uses the AID Allocation™ after it has been allocated to the Artist.

The Artist remains responsible for the Artist’s own financial, tax, business, and legal obligations relating to amounts received.

Article 10

Artist Payment Processing and Stripe Express Connect

Where Stripe Express Connect or another approved payment-processing system is used, the Artist must establish and maintain an approved payment account in order to receive the Artist’s AID Allocation™.

JCLV Enterprises LLC, Rebel Boom, Rebel Boom Live, INthe-Q™, and their respective officers, employees, contractors, associates, affiliates, representatives, or staff do not act as the Artist’s bank, trustee, escrow agent, custodian, or fiduciary with respect to the Artist’s AID Allocation™.

To the maximum extent permitted by the applicable payment-processing structure:

  • JCLV Enterprises LLC does not take possession of the Artist’s AID Allocation™;
  • JCLV Enterprises LLC does not hold the Artist’s AID Allocation™ for the Artist;
  • JCLV Enterprises LLC does not maintain a separate Artist trust account;
  • JCLV Enterprises LLC does not determine the Artist’s personal use of the Artist’s AID Allocation™;
  • and JCLV Enterprises LLC does not control the Artist’s bank account.

The applicable payment processor administers the payment processing and settlement process in accordance with its own terms, procedures, verification requirements, and applicable law.

The Artist is solely responsible for establishing and maintaining the required payment account.

If the Artist fails to establish or maintain an approved payment account, payment may be delayed, restricted, suspended, or otherwise handled according to the applicable payment processor’s procedures and applicable law.

Article 11

Fan Does Not Control Artist or Platform Funds

Once a Reservation has been submitted and the applicable Reservation Fee has been paid, the Fan has no ownership, control, management, or disposition rights over:

  • the Platform Allocation;
  • the Artist AID Allocation™;
  • or any other amount received by the Platform or Artist under their respective contractual arrangements.

The Fan may not direct the Artist to use the AID Allocation™ for:

  • venue expenses;
  • travel;
  • recording;
  • production;
  • charitable purposes;
  • personal expenses;
  • marketing;
  • management;
  • or any other purpose.

The Fan’s Reservation represents participation in the INthe-Q™ demand-validation process and does not create a fiduciary relationship between the Fan and Artist or between the Fan and JCLV Enterprises LLC.

Article 12

Fan Demand and Fan Verification Model

INthe-Q™ is designed as a Fan Demand and Fan Verification Model.

The Reservation process is intended to measure genuine Fan interest in a proposed Show Campaign.

The Platform may use Reservation activity, ticket purchases, geographic participation, Fan engagement, and other permitted information to provide measurable demand information to authorized Platform participants.

INthe-Q™ does not represent that every Reservation will result in an event.

The Fan acknowledges that the purpose of a Reservation is to demonstrate demand and participate in the Fan Alliance Network™.

Article 13

No Securities, Investment or Financial Product

The Fan expressly acknowledges that the US $9.99 Reservation Fee is not a financial investment.

The Reservation Fee does not constitute:

  • a security;
  • stock;
  • equity;
  • ownership interest;
  • membership interest in JCLV Enterprises LLC;
  • partnership interest;
  • debt instrument;
  • note;
  • bond;
  • dividend;
  • interest-bearing account;
  • profit-sharing arrangement;
  • royalty;
  • investment contract;
  • collective investment arrangement;
  • financial asset;
  • or any other instrument intended to generate a financial return or profit for the Fan.

The Fan is not purchasing an opportunity to make money.

The Fan is purchasing participation in the INthe-Q™ FAN Club™ and Reservation process and the rights and benefits expressly described in this Agreement.

Nothing in the Platform is intended to constitute an offer or sale of securities or an investment opportunity.

Article 14

Reservation Fee Is Not a Donation

The Reservation Fee is not characterized as a charitable donation or charitable contribution.

The Fan pays the Reservation Fee in exchange for contractual benefits and participation rights expressly described in this Agreement, including:

  • participation in a Show Campaign;
  • FAN Club™ membership;
  • demand-validation participation;
  • eligibility for applicable ticket-purchase opportunities;
  • applicable Reservation benefits;
  • and access to INthe-Q™ Community Social Media features following the Fan’s first qualifying Reservation.

The Fan receives value in exchange for the Reservation Fee.

Accordingly, the Fan should not treat the Reservation Fee as a charitable contribution or charitable donation unless otherwise expressly stated by JCLV Enterprises LLC in a separate written arrangement.

Article 15

Non-Refundable Reservation Fee

The Reservation Fee is non-refundable, except where a refund is required by applicable law or expressly authorized by Rebel Boom Live under applicable Platform policies.

The Fan acknowledges that the Reservation Fee is paid to participate in the Reservation process and is not held as a deposit awaiting the occurrence of an event.

If a Show Campaign does not activate, the Reservation Fee does not automatically become refundable.

If a Show Campaign activates and the Fan elects not to purchase a ticket during the applicable ticket-purchase period, the Reservation Fee remains non-refundable, subject to the applicable Reservation benefit rules.

Article 16

Platform Activation

For Single Show / Single Market Campaigns, the applicable Artist Participation Agreement and Platform rules establish the applicable minimum activation requirements.

Unless otherwise announced for a particular Campaign, the traditional Single Show / Single Market model may use a minimum activation threshold of 350 confirmed ticket purchases.

GEM™ Show Campaigns may utilize different Reservation levels and ticket-activation requirements established by the applicable GEM Company and GEM Artist agreements.

The Fan acknowledges that GEM™ is designed to accommodate substantially larger campaigns and multiple markets.

The Fan is not responsible for determining the activation threshold applicable to a particular GEM™ Show Campaign.

The applicable Show Campaign information displayed by the Platform shall establish the relevant Campaign requirements.

Article 17

Ticket Purchase and Reservation Credit

A Reservation is not a ticket.

If the applicable Show Campaign activates and the Fan becomes eligible to purchase a ticket, the Fan may receive the applicable Reservation benefit established for that Show Campaign.

For an eligible Single Show / Single Market Campaign utilizing the standard US $88.00 Base Ticket Price:

plus applicable taxes and ticketing or service fees.

The $9.99 Reservation Credit is available only according to the applicable Show Campaign rules and applicable ticket-purchase period.

Article 18

Single Market Ticket Pricing

For an independent Artist Single Show / Single Market Campaign, Rebel Boom Live may establish a Base Ticket Price appropriate to the anticipated cost of producing the applicable event.

The standard Base Ticket Price for the traditional INthe-Q™ Single Show model is presently established at US $88.00, subject to modification as provided below.

The applicable Base Ticket Price may be increased where reasonably necessary due to changes in:

  • venue costs;
  • production expenses;
  • Artist compensation;
  • labor costs;
  • insurance;
  • taxes;
  • travel;
  • security;
  • technology;
  • ticketing expenses;
  • market conditions;
  • or other legitimate costs associated with producing the event.

Rebel Boom Live may also determine that a particular market or venue requires a Multi-Tier Ticket Pricing Model rather than a single Base Ticket Price.

The applicable ticket pricing structure displayed to Fans for the Show Campaign shall control.

Article 19

Multi-Tier Ticket Pricing

Where a Multi-Tier Ticket Pricing Model applies, available seating may be divided among pricing categories based upon seating location, venue configuration, market conditions, and production economics.

The standard five-tier structure may include:

Tier Pricing Category General Seating Position
Premium Tier 1 Closest / highest-value seating
Preferred Tier 2 Premium-adjacent seating
Standard Tier 3 Central / mid-level seating
Value Tier 4 Rear or less-central seating
Economy Tier 5 Highest-availability / lower-priced seating

The percentages of available seats assigned to each tier may vary according to venue configuration and event requirements.

Where a five-tier structure is utilized, the Platform may seek to allocate approximately twenty percent (20%) of available seating to each pricing category, subject to venue configuration, contractual requirements, complimentary admissions, production holds, accessibility requirements, and other operational considerations.

For applicable GEM™ Show Campaigns, Multi-Tier Ticket Pricing is the standard pricing structure.

The applicable tier prices shall be established for the particular Show Campaign and displayed to eligible Fans when ticket purchasing becomes available.

Article 20

Priority Access™ / Ticket Purchase Period

Eligible Reservation Holders shall receive access to the applicable ticket-purchase period established for the Show Campaign.

For traditional Single Show / Single Market Campaigns, the applicable purchase period may be substantially shorter than the period utilized for GEM™.

For GEM™ Show Campaigns, the ticket-purchase period may remain open for up to thirty (30) days, subject to the applicable GEM Campaign rules.

The applicable purchase period shall be communicated to eligible Fans through the Platform.

The Fan is responsible for completing any ticket purchase within the applicable purchase period.

Article 21

First-Come, First-Served Seat Selection

Unless otherwise stated for a particular Show Campaign, eligible Fans may purchase available seats on a first-come, first-served basis during the applicable ticket-purchase period.

First-come, first-served does not mean that every seat has the same price.

Where assigned seating is utilized, available seats may carry different prices according to the applicable pricing tier.

Seat availability is subject to:

  • venue capacity;
  • seating configuration;
  • accessibility requirements;
  • production holds;
  • complimentary ticket allocations;
  • venue policies;
  • and other operational requirements.
Article 22

Reserved Complimentary Ticket Allocation

To support customary entertainment industry practices and facilitate the successful presentation of each Activated Event, Rebel Boom Live may establish a Reserved Complimentary Ticket Allocation consisting of Non-Revenue Complimentary Admissions for operational, promotional, hospitality, and business development purposes.

Unless otherwise determined by Rebel Boom Live, up to twenty-five (25) complimentary admissions may be removed from available ticket inventory prior to commencement of ticket sales.

Reserved Complimentary Admissions may be allocated among, including but not limited to:

  • Rebel Boom Live;
  • the participating Artist;
  • the Venue;
  • sponsors;
  • media representatives;
  • production personnel;
  • promotional partners;
  • industry professionals;
  • invited guests;
  • charitable organizations;
  • strategic business partners;
  • and other individuals approved by Rebel Boom Live.

The allocation of Reserved Complimentary Admissions among any party shall be determined solely and exclusively by Rebel Boom Live.

Participation in the INthe-Q™ Platform does not guarantee the Artist, Venue, or any other party a minimum number of complimentary admissions unless expressly agreed to in writing by Rebel Boom Live.

Unused Reserved Complimentary Admissions may, at the sole and absolute discretion of Rebel Boom Live:

  • be returned to available ticket inventory;
  • be made available through the Verified In-Person Purchase (VIPP™) process;
  • be allocated through the Box Office Stand-By Purchase process;
  • be issued as additional complimentary admissions;
  • or otherwise be distributed in a manner determined appropriate by Rebel Boom Live.

Reserved Complimentary Admissions are classified as Non-Revenue Admissions and:

  • do not constitute paid ticket sales;
  • do not count toward the Platform Activation Threshold;
  • do not count toward Artist Compensation Levels;
  • do not generate Artist Financial Support or AID Allocation™ payments;
  • do not generate Platform revenue;
  • and shall not be included in event settlement calculations unless expressly agreed otherwise in writing.

All Reserved Complimentary Admissions remain subject to:

  • venue capacity restrictions;
  • fire and life safety regulations;
  • applicable laws;
  • venue operating policies;
  • and production requirements.

Rebel Boom Live reserves the right to increase, reduce, or eliminate the Reserved Complimentary Ticket Allocation for any Activated Event where operational, financial, safety, production, contractual, or business considerations reasonably require such modification.

Such determination shall be made by Rebel Boom Live in good faith and shall be final and binding upon all parties to the extent permitted by applicable law.

Article 23

Verified In-Person Purchase (VIPP™)

Where offered, Verified In-Person Purchase (VIPP™) may provide an additional opportunity for eligible Reservation Holders to purchase available admission after the primary ticket-purchase period.

VIPP™ is subject to:

  • remaining seating inventory;
  • venue capacity;
  • applicable ticket prices;
  • applicable taxes and fees;
  • venue requirements;
  • and Platform procedures.

VIPP™ is not guaranteed.

Where the Reservation Credit has expired or is otherwise unavailable under the applicable Campaign rules, the Fan may be required to purchase admission at the then-current published ticket price.

Article 24

Box Office Stand-By Purchase

Where seating remains available immediately before an Activated Event, Rebel Boom Live may establish a Box Office Stand-By Purchase process.

Remaining seating may be:

  • sold;
  • allocated to invited guests;
  • allocated to media;
  • allocated to sponsors;
  • allocated to industry representatives;
  • issued as complimentary admissions;
  • or otherwise distributed as determined appropriate by Rebel Boom Live.

No Reservation Holder has an automatic contractual right to any remaining seat.

Article 25

INthe-Q™ Community Social Media Features

INthe-Q™ may provide Community Social Media features through the Fan’s INthe-Q™ dashboard.

Following the Fan’s first qualifying Reservation for an INthe-Q™ Show Campaign, the Fan’s applicable INthe-Q™ Community Social Media features may be activated.

Once activated, the Fan’s Community Social Media access is intended to remain available for the lifetime of the INthe-Q™ Platform, subject to:

  • compliance with the INthe-Q™ Community Social Media Agreement;
  • applicable Platform rules;
  • account status;
  • lawful use;
  • security requirements;
  • and any suspension or termination rights expressly established under the applicable agreements.

The Fan does not pay an additional Community Social Media activation fee after the Fan’s first qualifying Reservation.

However, activation of Community Social Media features does not eliminate the US $9.99 Reservation Fee applicable to each subsequent Reservation.

The Fan’s use of Community Social Media features is governed primarily by the separate INthe-Q™ Community Social Media Agreement.

The Community Social Media Agreement is incorporated into the Fan’s Platform relationship by reference.

Article 26

Permanent Community Social Media Access

Subject to the applicable Platform agreements, once the Fan’s INthe-Q™ Community Social Media features have been properly activated, such activation shall remain associated with the Fan’s account for the lifetime of the INthe-Q™ Platform.

The permanent nature of the feature activation does not constitute:

  • a lifetime guarantee that any particular feature will remain technically identical;
  • a guarantee of uninterrupted service;
  • a guarantee against temporary outages;
  • or a limitation on JCLV Enterprises LLC’s right to modify, improve, replace, suspend, or discontinue individual technology features where reasonably necessary.

The Fan’s continued access remains subject to the Community Social Media Agreement and applicable Platform rules.

Article 27

Community Social Media Conduct

The Fan agrees to use all Community Social Media features responsibly and lawfully.

The Fan shall comply with the separate INthe-Q™ Community Social Media Agreement, including its provisions concerning:

  • account security;
  • content;
  • harassment;
  • abuse;
  • intellectual property;
  • privacy;
  • prohibited conduct;
  • user-generated content;
  • moderation;
  • account suspension;
  • termination;
  • and Platform integrity.

Where a conflict exists between this Agreement and the specific Community Social Media Agreement concerning social-media functionality, the Community Social Media Agreement shall control with respect to that functionality.

Article 28

Fan Data, Fan Verification and Analytics

The Fan acknowledges that INthe-Q™ is designed to collect and analyze information associated with Fan participation.

Subject to the INthe-Q™ Privacy Policy and applicable law, information may include:

  • Reservation activity;
  • Artist preferences;
  • Show Campaign participation;
  • market interest;
  • ticket purchasing behavior;
  • engagement with Platform features;
  • social-media participation;
  • and other information voluntarily provided or lawfully collected.

Rebel Boom Live may use aggregated, anonymized, or otherwise lawfully processed information for:

  • demand analysis;
  • Artist insights;
  • venue planning;
  • promoter services;
  • market analysis;
  • Platform development;
  • business intelligence;
  • and entertainment-industry research.

Personal information shall be handled in accordance with the applicable Privacy Policy.

Article 29

Fan Privacy

The Fan’s personal information shall be handled in accordance with the INthe-Q™ Privacy Policy and applicable privacy laws.

The Fan acknowledges that participation in a demand-validation platform necessarily involves the collection and processing of information associated with the Fan’s participation.

The Fan should review the Privacy Policy before participating.

Article 30

No Guarantee of Event

The Fan acknowledges that participation in a Reservation Campaign does not guarantee that an event will occur.

A Show Campaign may fail to achieve the applicable activation requirements.

A Show Campaign may also be affected by:

  • venue availability;
  • Artist availability;
  • travel;
  • visa requirements;
  • production requirements;
  • business decisions;
  • regulatory requirements;
  • Force Majeure;
  • or other circumstances outside the reasonable control of Rebel Boom Live.

The Fan’s Reservation does not constitute a guarantee that Rebel Boom Live, a GEM Company, an Artist, or any other party will ultimately produce the proposed event.

Article 31

Event Changes, Postponement and Cancellation

Activated Events may be postponed, rescheduled, relocated, modified, or cancelled because of circumstances beyond the reasonable control of the parties.

Such circumstances may include:

  • Artist illness or incapacity;
  • travel interruption;
  • visa or immigration issues;
  • venue closure;
  • government restrictions;
  • severe weather;
  • natural disasters;
  • public health emergencies;
  • labor disputes;
  • civil unrest;
  • acts of terrorism;
  • utility failures;
  • security concerns;
  • or other Force Majeure events.

Where reasonably possible, Rebel Boom Live will communicate material changes to affected Fans.

Ticket refunds or exchanges shall be handled according to the applicable ticketing provider, venue, event terms, and applicable law.

Article 32

Reservation Cancellation and Platform Protection

The Fan acknowledges that the Reservation Fee is non-refundable and that a Reservation Spot represents a contractual participation right in the applicable Show Campaign.

Rebel Boom Live shall not cancel a valid Reservation Spot arbitrarily or without a legitimate basis.

A Reservation Spot may be cancelled, suspended, invalidated, or removed where reasonably necessary because of:

  • fraud;
  • duplicate or manipulated Reservations;
  • unauthorized account activity;
  • payment reversal;
  • chargeback;
  • violation of Platform rules;
  • unlawful conduct;
  • abuse of the Platform;
  • material violation of this Agreement;
  • security concerns;
  • technical manipulation;
  • or another clear and compelling reason permitted by applicable law.

Where a Reservation is cancelled by Rebel Boom Live, the Platform shall act consistently with applicable consumer-protection laws and applicable Platform policies.

Nothing in this Agreement authorizes the Platform to waive or disregard mandatory consumer-protection rights.

Article 33

Prohibition on Reservation Manipulation

The Fan shall not:

  • create fraudulent accounts;
  • create multiple accounts for the purpose of manipulating demand;
  • use automated systems or bots;
  • submit false Reservations;
  • manipulate geographic demand;
  • interfere with another Fan’s account;
  • use stolen payment information;
  • conduct unauthorized resale activity;
  • or otherwise attempt to distort the integrity of a Reservation Campaign.

Rebel Boom Live may invalidate Reservations that are reasonably determined to be fraudulent, manipulated, duplicated, unauthorized, or otherwise inconsistent with Platform rules.

Article 34

Ticket Scalping and Unauthorized Resale

INthe-Q™ is designed to provide Fans with direct participation in applicable Show Campaigns and ticket-purchase opportunities.

The Platform may establish restrictions on unauthorized ticket resale, automated purchasing, bulk acquisition, circumvention of purchase limits, or other activities intended to manipulate ticket availability or pricing.

Fans shall comply with all applicable ticketing restrictions.

Nothing in this Agreement guarantees that unauthorized resale will never occur, but the Platform may employ technological, contractual, and operational measures designed to discourage or prevent such activity.

Article 34A

Anti-Scalping, Reservation Identity Verification & Non-Transferability

INthe-Q™ has been specifically designed to reduce and, to the maximum extent technologically and operationally practicable, prevent ticket scalping, ticket hoarding, unauthorized ticket resale, reservation transfers, multiple-account purchasing, automated purchasing activity, and other practices that may interfere with fair and equitable access to tickets.

The INthe-Q™ Platform therefore incorporates identity-based Reservation and Priority Access™ controls designed to connect each Reservation to the individual Member who made the Reservation.

1. Unique Reservation Identification

Each Reservation submitted through an INthe-Q™ Show Campaign shall be assigned a unique Reservation Number or Reservation Code.

The Reservation Number or Reservation Code is associated with the Member’s registered INthe-Q™ account and may be associated, subject to applicable law and the Platform Privacy Policy, with information including:

  • the Member’s legal name;
  • registered email address;
  • account information;
  • Reservation information;
  • payment information or payment-token information where applicable;
  • and other identity-verification information reasonably required to administer Priority Access™.

The Reservation Number or Reservation Code is personal to the registered Member and is non-transferable.

A Member may not sell, assign, transfer, gift, trade, lease, loan, broker, or otherwise transfer a Reservation Number or Reservation Code to another person.

2. One Member — One Reservation — One Priority Access Ticket

Unless expressly authorized otherwise in writing by Rebel Boom Live, the standard INthe-Q™ access structure is:

One (1) Member → One (1) Reservation → One (1) Priority Access™ Ticket.

A Member may not establish multiple accounts, use multiple email addresses, create duplicate identities, employ automated systems, or otherwise attempt to circumvent the one-Member/one-ticket structure.

Any attempt to circumvent these requirements may result in cancellation of the affected account, Reservation, ticket purchase eligibility, or other Platform privileges, subject to applicable law and the applicable Platform agreements.

3. Identity Verification

When a Show Campaign reaches the applicable Buy Window or Priority Access™ Purchase Window, Rebel Boom Live and/or its authorized ticketing provider may use reasonable identity-verification and account-matching procedures to determine whether the person seeking to purchase a Priority Access™ ticket is the same Member associated with the applicable Reservation.

Where legally permissible and operationally necessary, such verification may include comparison of the Member’s:

  • Reservation Number or Reservation Code;
  • registered email address;
  • legal name;
  • government-issued identification;
  • ticketing-provider account information;
  • and other information reasonably necessary to authenticate the Member.

Any collection, use, transmission, retention, or processing of personal information shall remain subject to the INthe-Q™ Privacy Policy, applicable privacy laws, applicable consumer-protection laws, and the terms and policies of the authorized ticketing provider.

4. Priority Access™ Eligibility

A Member seeking to purchase a Priority Access™ ticket must satisfy the applicable authentication and eligibility requirements established for the Show Campaign.

If the information associated with the Member’s Reservation does not reasonably correspond with the information required by the authorized ticketing provider for Priority Access™, the Member may be denied Priority Access™ ticket purchasing eligibility, subject to applicable law and reasonable procedures established for correcting legitimate identity or account errors.

Possession of another person’s Reservation Number or Reservation Code shall not create Priority Access™ eligibility.

5. No Reservation Transfers

A Reservation cannot be transferred to another individual for the purpose of allowing that individual to obtain Priority Access™.

For example, a Member may not:

  • purchase a Reservation and sell it to another person;
  • purchase a Reservation for another person and then transfer the Reservation;
  • create a Reservation using false or misleading identity information;
  • transfer a Reservation Number or Reservation Code through a third-party marketplace;
  • or otherwise attempt to convert a Reservation into a transferable commodity.

The Reservation is intended to represent the verified demand of the individual Member who submitted it.

6. Attending With Family, Friends or Other Guests

A Member may wish to attend an Activated Event with a spouse, partner, family member, friend, colleague, or other guest.

Where additional tickets are desired, each additional person seeking Priority Access™ must independently:

  • create an INthe-Q™ Member account;
  • provide the required registration information;
  • submit their own Reservation;
  • receive their own Reservation Number or Reservation Code; and
  • satisfy the applicable Priority Access™ eligibility requirements.

The additional Member may use the same payment method as another Member for purposes of paying their Reservation Fee or purchasing their ticket, provided that each Member maintains a separate account and individually satisfies all applicable eligibility and identity requirements.

Use of the same payment card, bank account, digital wallet, or other payment method by multiple legitimate Members shall not, by itself, constitute a violation of the one-Member/one-ticket policy.

7. Anti-Scalping Purpose

The parties acknowledge that the foregoing mechanics are fundamental components of the INthe-Q™ Platform’s demand-validation and ticket-access architecture.

The purpose of these mechanics is to reduce the ability of individuals or organizations to:

  • acquire large quantities of tickets for resale;
  • manipulate demand data;
  • use multiple identities to obtain additional tickets;
  • employ automated purchasing systems;
  • create artificial scarcity;
  • purchase tickets for speculative resale;
  • or otherwise circumvent the intended relationship between verified Members and Priority Access™.

INthe-Q™ is intended to provide verified Members with a fair opportunity to purchase tickets based upon their genuine participation in the Reservation Campaign.

8. No Guarantee of Complete Elimination of Scalping

Although Rebel Boom Live has designed INthe-Q™ to substantially reduce ticket scalping and unauthorized resale, no technological or contractual system can guarantee the complete elimination of all unauthorized resale activity.

Rebel Boom Live may therefore implement additional reasonable security, identity-verification, ticketing, technological, contractual, or operational measures where it determines that such measures are necessary or appropriate to protect Members, Artists, venues, ticketing partners, and the integrity of the INthe-Q™ Platform.

9. Ticket Resale

Any resale or transfer of a ticket issued following an INthe-Q™ Reservation Campaign shall remain subject to the applicable ticketing provider’s terms, venue policies, applicable law, and any additional restrictions established for the specific Activated Event.

A Reservation Number or Reservation Code may not be sold or transferred merely because a Member possesses a ticket or intends to attend the event with another person.

10. Platform Enforcement

Rebel Boom Live reserves the right, subject to applicable law, to investigate suspected violations of this Article and to take reasonable action where it determines that a Member has attempted to manipulate, circumvent, or abuse the INthe-Q™ Reservation or Priority Access™ system.

Such action may include:

  • cancellation of duplicate or fraudulent Reservations;
  • suspension or termination of an account;
  • denial of Priority Access™ eligibility;
  • cancellation of tickets obtained through fraudulent or prohibited activity;
  • restriction of future Platform participation;
  • or other reasonable measures permitted under the applicable Platform agreements.

Rebel Boom Live shall apply these procedures in a manner consistent with applicable law, consumer-protection requirements, and the INthe-Q™ Platform’s governing agreements.

11. Fundamental Platform Principle

The Member acknowledges and agrees that the Reservation is intended to represent the genuine verified demand of the individual Member associated with the Reservation.

Accordingly, the Member’s Reservation Number or Reservation Code is not a transferable financial instrument, ticket, commodity, investment, or resale asset.

The Reservation exists solely for participation in the applicable INthe-Q™ demand-validation process and, where applicable, to establish the Member’s eligibility for Priority Access™ to purchase a ticket for an Activated Event.

Article 35

Fan Responsibilities

The Fan agrees to:

  • provide accurate information;
  • maintain account security;
  • protect login credentials;
  • use the Platform lawfully;
  • comply with applicable ticketing rules;
  • comply with the Community Social Media Agreement;
  • avoid fraudulent or manipulative activity;
  • provide accurate payment information;
  • and comply with applicable laws.

The Fan is responsible for activity conducted through the Fan’s account unless unauthorized use is reported in accordance with Platform procedures.

Article 36

No Control Over Artist Compensation

The Fan acknowledges that Artist compensation is governed by separate agreements.

For a Single Show / Single Market independent Artist Campaign, compensation may be established under the applicable Artist Participation Agreement, including applicable Bronze, Silver, Gold, Platinum, or Diamond compensation structures.

For a GEM™ Artist Campaign, compensation is subject to confidential negotiations and agreements between the GEM Company and the participating Artist.

The Fan has no right to:

  • negotiate Artist compensation;
  • dictate Artist compensation;
  • demand disclosure of confidential Artist compensation;
  • or interfere with contractual arrangements between an Artist and a company or Platform participant.
Article 37

No Crowdfunding, Investment or Ownership Rights

The Fan’s participation in an INthe-Q™ Reservation Campaign does not provide the Fan with an ownership interest in the Artist, Show Campaign, JCLV Enterprises LLC, Rebel Boom Live, GEM™, or INthe-Q™.

The Fan does not acquire:

  • equity;
  • stock;
  • securities;
  • ownership;
  • profit participation;
  • dividends;
  • interest;
  • royalties;
  • voting rights;
  • or any other financial participation.

Any reference to Artist Financial Support, AID Allocation™, or Reservation Allocation is intended to describe the contractual allocation of Platform transaction economics and does not create a financial investment relationship.

Article 38

Independent Platform Participants

The Fan acknowledges that Artists, venues, promoters, GEM Companies, ticketing providers, payment processors, and other third parties may have independent contractual relationships with Rebel Boom Live.

The Fan is not automatically a party to those agreements.

The Fan’s rights are limited to those expressly established in this Agreement, applicable ticketing terms, the Privacy Policy, the Community Social Media Agreement, and other terms specifically applicable to the Fan.

Article 39

Payment Processors

Payment transactions may be processed through Stripe or another payment processor designated by Rebel Boom Live.

The Fan acknowledges that payment processors may impose their own:

  • terms;
  • verification requirements;
  • transaction rules;
  • security procedures;
  • refund procedures;
  • chargeback procedures;
  • and payment limitations.

Rebel Boom Live does not control the internal systems, policies, banking procedures, or independent decisions of third-party payment processors.

Article 40

Chargebacks and Payment Reversals

If a Fan initiates an unauthorized chargeback, payment reversal, fraudulent dispute, or other payment reversal concerning a Reservation, Rebel Boom Live may suspend or invalidate the affected Reservation and/or account pending resolution.

Where a payment dispute is determined in favor of the Fan, Rebel Boom Live shall comply with the applicable payment processor’s procedures and applicable law.

Article 41

Intellectual Property

INthe-Q™, FAN Club™, Fan Alliance Network™, GEM™, and other names, trademarks, service marks, logos, technology, software, content, and Platform materials are owned by or licensed to JCLV Enterprises LLC or the applicable rights holder.

Nothing in this Agreement grants the Fan ownership of any Platform intellectual property.

The Fan may not copy, reproduce, modify, reverse engineer, distribute, sell, or commercially exploit Platform technology or proprietary materials without written authorization.

Article 42

Platform Modification

Rebel Boom Live may modify, improve, expand, replace, or update Platform technology, functionality, procedures, or features where reasonably necessary for:

  • security;
  • technology development;
  • legal compliance;
  • business operations;
  • scalability;
  • user experience;
  • payment processing;
  • ticketing;
  • or Platform improvement.

Material contractual changes shall be handled in accordance with applicable law and applicable Platform procedures.

Article 43

Platform Availability

Rebel Boom Live does not guarantee uninterrupted Platform availability.

The Platform may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • technical failures;
  • cybersecurity incidents;
  • payment processor interruptions;
  • telecommunications failures;
  • third-party services;
  • or other circumstances beyond reasonable control.
Article 44

Limitation of Liability

To the maximum extent permitted by applicable law, Rebel Boom Live and JCLV Enterprises LLC shall not be liable for indirect, incidental, consequential, special, punitive, or unforeseeable damages arising from:

  • participation in a Reservation Campaign;
  • an Artist’s failure to perform;
  • event postponement;
  • event cancellation;
  • venue changes;
  • ticket availability;
  • payment processor interruption;
  • Platform interruption;
  • Force Majeure;
  • or third-party conduct.

Nothing in this Agreement shall exclude liability that cannot legally be excluded under applicable law.

Article 45

Member Indemnification

To the maximum extent permitted by applicable law, the Fan agrees to indemnify and hold harmless JCLV Enterprises LLC, Rebel Boom, Rebel Boom Live, INthe-Q™, and their respective officers, employees, contractors, affiliates, representatives, and authorized partners from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • the Fan’s violation of this Agreement;
  • misuse of the Platform;
  • fraudulent activity;
  • unlawful activity;
  • infringement of third-party rights;
  • or unauthorized use of another person’s account or payment information.
Article 46

Dispute Resolution

The Fan and JCLV Enterprises LLC agree to attempt in good faith to resolve disputes informally before initiating formal proceedings.

The Fan may contact the Platform through the applicable customer-service or support process to report a dispute.

If the dispute cannot be resolved informally, the dispute shall proceed according to the arbitration provisions of this Agreement, subject to applicable law.

Article 47

Governing Law

This Agreement shall be governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except to the extent mandatory consumer-protection laws of another jurisdiction apply to the Fan’s transaction.

Article 48

Binding Arbitration

To the maximum extent permitted by applicable law, unresolved disputes arising from or relating to:

  • this Agreement;
  • FAN Club™ Membership;
  • Reservations;
  • Show Campaign participation;
  • ticket purchases;
  • Platform use;
  • Community Social Media features;
  • or the Fan’s relationship with JCLV Enterprises LLC;

shall be resolved through binding arbitration.

The arbitration shall be conducted in accordance with applicable arbitration law and the applicable arbitration service’s rules.

The parties agree that disputes shall be resolved individually to the maximum extent permitted by applicable law.

Nothing in this provision shall prevent a Fan from exercising rights that cannot lawfully be waived or from seeking remedies that applicable law requires to remain available.

Article 49

Electronic Records and Digital Signature

The Fan acknowledges that INthe-Q™ may use electronic registration, electronic acceptance, digital signature, electronic confirmation, and electronic recordkeeping systems.

By selecting “I Agree,” submitting a Reservation, completing registration, or otherwise accepting this Agreement electronically, the Fan agrees that the electronic record constitutes evidence of the Fan’s acceptance.

Where the Platform provides a digital-signature feature, the resulting electronic record may be converted into a PDF or other permanent electronic record and delivered to the Fan’s designated email address.

Electronic records shall be retained in accordance with applicable law and Platform procedures.

Article 50

Agreement Priority and Incorporation

This Agreement incorporates by reference:

Where a specific provision of this Agreement directly addresses Fan rights or obligations, this Agreement shall control with respect to those Fan-specific provisions.

The GEM Company Agreement and GEM Artist Agreement do not become agreements between the Fan and GEM merely because the Fan participates in a GEM Show Campaign.
