INthe-Q™ Artist
Participation Agreement

Independent Artist Show Campaign & GEM Artist Participation

Parties: JCLV Enterprises LLC, a Nevada limited liability company, doing business as Rebel Boom and Rebel Boom Live (collectively, “Rebel Boom Live,” “Company,” “Platform,” or “INthe-Q™”), and the registered artist, band, performer, act, artist entity, or authorized representative completing the electronic registration and agreement-execution process (“Artist”).
Article 1

Purpose and Scope of This Agreement

This Agreement establishes the terms and conditions under which an Artist may participate in the INthe-Q™ Platform and participate in an INthe-Q™ Show Campaign.

INthe-Q™ is a demand-validation, reservation, fan participation, ticket-conversion, event activation, and entertainment technology platform designed to measure verified fan demand before a live entertainment event is committed to a venue and produced.

INthe-Q™ is not a ticketing company, ticket broker, ticket reseller, or traditional public ticket marketplace.

The Platform is designed to facilitate participation by verified fans and members of the INthe-Q™ Fan Alliance Network and to provide Artists, promoters, entertainment companies, venues, and authorized GEM participants with structured demand information before committing to live-event production.

This Agreement applies to two distinct Artist participation pathways:

A. Independent Artist Show Campaign

An Independent Artist may participate in a single-market INthe-Q™ Show Campaign controlled, administered, and produced by Rebel Boom Live.

An Independent Artist Show Campaign may contain up to 2,000 Reservation Spots and is subject to the applicable INthe-Q™ reservation, Buy Window, ticket conversion, venue, production, compensation, and activation requirements.

The Bronze, Silver, Gold, Platinum, and Diamond Artist Compensation Levels described in this Agreement apply only to the Independent Artist Show Campaign pathway.

B. GEM Artist Campaign

An Artist may participate in an INthe-Q™ GEM™ (Global Enterprise Markets) campaign through an authorized GEM Company.

A GEM Artist Campaign may involve multiple cities, markets, countries, venues, and potentially large-scale entertainment events.

The Artist’s financial compensation, guarantees, travel arrangements, production obligations, performance requirements, and other commercial terms for a GEM Artist Campaign shall not be governed by the Independent Artist Compensation Levels contained in this Agreement.

Such compensation and commercial terms shall instead be established through confidential negotiations and separate written agreement(s) between the Artist and the applicable GEM Company, subject to the requirements of the applicable GEM agreements and the INthe-Q™ Platform.

Article 2

Incorporation of Master Platform Agreement

This Agreement incorporates by reference the then-applicable INthe-Q™ Master Platform Agreement & Terms of Use (“Master Platform Agreement”).

The Artist acknowledges and agrees that the Master Platform Agreement governs the Artist’s use of the INthe-Q™ Platform except where this Agreement expressly establishes Artist-specific terms.

The Artist further agrees to comply with:

  • this Agreement;
  • the Master Platform Agreement;
  • applicable INthe-Q™ Platform procedures;
  • AIVA requirements;
  • production requirements;
  • reservation and ticketing procedures;
  • applicable Fan Alliance Network requirements;
  • applicable event-specific requirements;
  • applicable GEM requirements where the Artist participates through GEM; and
  • any other written agreement expressly incorporated into the Artist’s participation.

If a conflict exists between this Agreement and an applicable event-specific written agreement, the more specific agreement shall control with respect to the subject matter expressly addressed therein.

Article 3

AIVA — Artist Identity Verification Application

Completion and approval of the AIVA™ — Artist Identity Verification Application is a prerequisite to Artist participation in an INthe-Q™ Show Campaign.

AIVA is designed to verify the identity, authority, eligibility, and legitimacy of the Artist or authorized representative seeking to participate in INthe-Q™.

The Artist may be required to provide information and documentation reasonably necessary to establish:

  • Artist identity;
  • legal identity;
  • ownership or representation authority;
  • management or agency authority;
  • business entity information;
  • payment information;
  • tax information;
  • performance history;
  • rights to use submitted Artist materials;
  • and other information reasonably necessary to protect the Platform, fans, Artists, GEM Companies, venues, payment processors, and business partners.

Rebel Boom Live may independently verify information supplied through AIVA.

Approval of AIVA does not constitute approval of a Show Campaign and does not guarantee:

  • campaign activation;
  • reservations;
  • ticket sales;
  • venue booking;
  • event production;
  • Artist compensation;
  • or future participation.

AIVA approval merely establishes that the Artist has satisfied the applicable identity and eligibility requirements necessary to proceed to the next stage of Platform participation.

Rebel Boom Live may suspend, revoke, or invalidate an Artist’s participation if material information submitted through AIVA is later determined to be inaccurate, fraudulent, incomplete, misleading, or unauthorized.

Article 4

Artist Registration and Campaign Activation

Following successful AIVA approval, the Artist may be required to complete the applicable INthe-Q™ Artist Registration Form.

Registration may require:

  • Artist name;
  • legal entity information;
  • management information;
  • representative information;
  • genre;
  • biography;
  • performance history;
  • promotional materials;
  • photographs;
  • videos;
  • music recordings;
  • contact information;
  • payment information;
  • tax information;
  • travel information;
  • technical requirements;
  • performance requirements;
  • and other information reasonably required by Rebel Boom Live.

Completion of registration does not independently activate a Show Campaign.

A Show Campaign becomes active only after the applicable Platform requirements have been satisfied and Rebel Boom Live has formally authorized campaign activation.

Article 5

Artist Application and Account Activation Fee

The Artist shall pay the applicable INthe-Q™ Artist Application and Account Activation Fee established by Rebel Boom Live at the time of registration.

The fee may include Platform administration, account activation, payment-account administration, technology, and related services.

The applicable fee shall be disclosed to the Artist before payment.

Unless otherwise required by applicable law or expressly stated at checkout, the Artist Application and Account Activation Fee is non-refundable.

The Artist Application and Account Activation Fee is separate from:

  • Reservation Fees;
  • ticket purchases;
  • Artist Financial Support;
  • Artist Compensation;
  • GEM Company payments;
  • travel expenses;
  • and other event-related payments.
Article 6

Payment Processing and Stripe

Eligible Artist-related financial transactions may be processed through Stripe Express Connect or another payment processor approved and designated by Rebel Boom Live.

The Artist agrees to:

  • establish and maintain any required payment account;
  • provide accurate payment information;
  • complete applicable identity and financial verification;
  • comply with applicable payment processor requirements;
  • maintain accurate banking information; and
  • comply with applicable tax and reporting obligations.

Rebel Boom Live does not control:

  • payment processor approval;
  • verification requirements;
  • banking procedures;
  • payment timing;
  • account limitations;
  • payment holds;
  • or payment processor decisions.

The Artist acknowledges that payment processing is subject to the rules, policies, procedures, and requirements of the applicable payment processor.

Article 7

Reservation Fees and Artist Financial Support

Where applicable, fans may participate in an INthe-Q™ Show Campaign by purchasing Reservation Spots.

The applicable Reservation Fee is established by the Platform and disclosed to the fan during checkout.

A Reservation Fee is not a conventional ticket purchase.

A Reservation provides the participating member with the applicable reservation rights described by the Platform and may provide eligibility to participate in the subsequent ticket purchase process.

Where applicable under the governing Platform terms, a portion of Reservation revenue may constitute Artist Financial Support payable to the participating Artist.

Artist Financial Support is separate from Artist Compensation payable in connection with an Activated Event.

The Artist acknowledges that:

  • Reservation revenue is generated through the Platform’s reservation process;
  • applicable processing fees and other permitted deductions may apply;
  • payment timing may be subject to processor requirements;
  • the Artist is responsible for all taxes and reporting obligations associated with funds received; and
  • Rebel Boom Live does not guarantee a minimum amount of Artist Financial Support unless expressly stated in a written agreement.
Article 8

Independent Contractor Status

The Artist is an independent contractor.

Nothing in this Agreement creates:

  • an employer-employee relationship;
  • partnership;
  • joint venture;
  • agency relationship;
  • fiduciary relationship;
  • franchise relationship;
  • or ownership interest.

The Artist retains control over the Artist’s artistic identity and creative expression, subject to applicable contractual, venue, production, safety, and Platform requirements.

The Artist is solely responsible for:

  • taxes;
  • business registrations;
  • licenses;
  • permits;
  • insurance;
  • payroll;
  • compensation owed to performers;
  • compensation owed to musicians;
  • crew compensation;
  • management commissions;
  • agent commissions;
  • and other obligations associated with the Artist’s business.
Article 9

Artist Representations and Warranties

The Artist represents and warrants that:

  • The Artist has authority to enter into this Agreement.
  • The Artist has authority to represent the act and participating performers.
  • All information submitted to INthe-Q™ is accurate and complete.
  • The Artist owns, controls, or has obtained the necessary rights to use all submitted materials.
  • Participation does not knowingly violate an existing contractual obligation.
  • The Artist has disclosed material information that could reasonably affect the Artist’s ability to perform.
  • The Artist will not intentionally manipulate, falsify, purchase, generate, or cause fraudulent Reservations or ticket purchases.
  • The Artist will not knowingly encourage fraudulent accounts or identities to artificially inflate fan demand.
  • The Artist will not knowingly engage in conduct intended to circumvent Platform procedures or undermine the integrity of INthe-Q™ demand data.
Article 10

Artist Eligibility and Platform Verification

Rebel Boom Live may conduct additional verification at any time before or during Artist participation.

Verification may include:

  • identity verification;
  • management verification;
  • agency verification;
  • legal entity verification;
  • documentation review;
  • video verification;
  • electronic interviews;
  • reference checks;
  • publicly available information;
  • and other reasonable verification procedures.

Failure to cooperate with reasonable verification requirements may result in:

  • suspension;
  • cancellation;
  • removal from the Platform;
  • campaign termination;
  • or denial of future participation.
Article 11

Independent Artist Show Campaign — Single Market

An Independent Artist participating through the Independent Artist Show Campaign pathway shall participate in one Show Campaign for one market at a time.

The maximum Reservation capacity for an Independent Artist Show Campaign is 2,000 Reservation Spots, unless Rebel Boom Live expressly establishes a different limit in writing.

Rebel Boom Live controls and administers the Independent Artist Show Campaign, including:

  • campaign activation;
  • Reservation administration;
  • demand validation;
  • Buy Window administration;
  • ticket conversion;
  • venue selection or approval;
  • production planning;
  • event scheduling;
  • seating configuration;
  • ticket pricing;
  • event operations;
  • and event settlement.

The Independent Artist Compensation Levels contained in Article 15 apply only to this Independent Artist Show Campaign pathway.

Article 12

Market Designation and Relocation of an Independent Artist Show Campaign

An Independent Artist Show Campaign may initially identify a proposed market, including Las Vegas, Nevada.

The Artist acknowledges, however, that market availability, venue availability, production requirements, demand, licensing, scheduling, operational requirements, governmental requirements, or other legitimate business considerations may make the originally contemplated market unavailable or impractical.

Accordingly, Rebel Boom Live reserves the right, in its reasonable business discretion, to relocate an Independent Artist Show Campaign to another market within which Rebel Boom Live:

  • operates;
  • controls;
  • has a contractual right to conduct or produce the event;
  • has an applicable venue relationship;
  • or otherwise has the lawful ability to present the event.

Rebel Boom Live shall provide the Artist with reasonable notice of any material market relocation.

A relocation shall not, by itself, constitute a breach of this Agreement.

Where a relocation would materially alter the Artist’s fundamental performance obligations, compensation structure, or legally required travel or work authorization requirements, the parties shall cooperate in good faith to establish the appropriate event-specific terms before the performance is confirmed.

The Artist shall not represent any particular city or venue as guaranteed unless Rebel Boom Live has formally confirmed that city and venue in writing.

Article 13

GEM™ Artist Participation

An Artist participating through INthe-Q™ GEM™ — Global Enterprise Markets acknowledges that GEM participation is materially different from an Independent Artist Show Campaign.

A GEM Campaign may involve:

  • multiple cities;
  • multiple countries;
  • multiple venues;
  • large-capacity venues;
  • stadiums;
  • arenas;
  • theaters;
  • concert halls;
  • festivals;
  • and other large-scale entertainment events.

GEM Campaigns may be initiated and controlled by an authorized GEM Company pursuant to the applicable GEM agreements.

The Artist acknowledges that the Bronze, Silver, Gold, Platinum, and Diamond compensation structure contained in Article 15 does not apply to GEM Artist participation.

Artist compensation for a GEM Campaign shall be determined through confidential commercial negotiations between the Artist and the applicable GEM Company.

Such negotiations may address:

  • Artist guarantee;
  • performance fee;
  • revenue participation;
  • travel;
  • accommodations;
  • transportation;
  • production requirements;
  • number of performances;
  • performance dates;
  • territories;
  • cities;
  • and other commercial terms.

Any GEM Artist compensation agreement shall be documented in a separate written agreement or other legally enforceable commercial arrangement between the Artist and GEM Company.

Rebel Boom Live shall not be deemed responsible for an Artist’s negotiated GEM compensation unless Rebel Boom Live is expressly identified as a contracting party in the applicable agreement.

Article 14

Show Campaign Process

An Independent Artist Show Campaign generally progresses through the following stages:

Stage 1 — AIVA Approval

Artist identity and eligibility are verified.

Stage 2 — Artist Registration

The Artist completes the applicable registration requirements.

Stage 3 — Campaign Activation

Rebel Boom Live authorizes the Show Campaign.

Stage 4 — Reservation Campaign

Eligible fans may purchase Reservation Spots.

Stage 5 — Buy Window

Following satisfaction of the applicable Reservation requirements, the applicable Buy Window may open.

Stage 6 — Ticket Conversion

Eligible Reservation Holders may purchase tickets under the applicable Platform procedures.

Stage 7 — Activation Determination

The final qualifying ticket conversion determines whether the applicable Show Campaign reaches the required activation threshold.

Stage 8 — Venue and Event Confirmation

Where the applicable activation requirements are satisfied, Rebel Boom Live proceeds with applicable venue, production, scheduling, and event confirmation procedures.

The Artist acknowledges that the precise timing and sequence of these stages may vary based upon operational, venue, regulatory, production, or Platform requirements.

Article 15

Independent Artist Compensation Levels

This Article applies only to an Independent Artist Show Campaign controlled and produced by Rebel Boom Live with a maximum Reservation capacity of 2,000 Reservation Spots.

It does not apply to a GEM Artist Campaign.

For an Activated Independent Artist Show Campaign, Artist Compensation shall be determined by the applicable confirmed ticket sales level.

The compensation structure is based upon the applicable Platform ticket pricing model, which is designed to maintain an average base ticket price established by Rebel Boom Live.

Platinum 1,001–1,500 US $25,000
Diamond 1,501–2,000 US $35,000

Unless otherwise expressly agreed in writing, these amounts constitute the applicable All-Inclusive Artist Compensation Package for the applicable Independent Artist Show Campaign.

The Artist acknowledges that the compensation package may be used to satisfy applicable Artist travel, accommodation, transportation, meals, personnel, visa, baggage, equipment, and other expenses as provided by the applicable travel and production provisions of this Agreement.

Article 15A

Las Vegas Base Ticket Price, Reservation Credit & Pricing Flexibility

15.1 Current Las Vegas Base Ticket Price

For Independent Artist Show Campaigns operated and produced by Rebel Boom Live within the Las Vegas Market, the current benchmark Base Ticket Price is US $88.00 per ticket, subject to applicable taxes, governmental charges, venue charges, processing fees, and other applicable fees disclosed to the purchaser at checkout. A Reservation Holder who purchases a ticket during the applicable Buy Window shall receive the applicable US $9.99 Reservation Credit toward the Base Ticket Price, such that the current benchmark ticket price before applicable taxes and additional checkout charges is US $78.01. The $9.99 Reservation Credit is not a reduction of the Artist’s established compensation, production budget, or other contractual financial obligations. The Reservation Credit represents the credit applicable to the Reservation Holder pursuant to the INthe-Q™ Reservation and Ticketing terms.

15.2 Pricing Is Subject to Market and Operational Conditions

The $88.00 Base Ticket Price represents the Company’s current Las Vegas pricing benchmark and shall not be construed as a permanent, guaranteed, or immutable ticket price. Rebel Boom Live reserves the right, in its sole and reasonable business discretion, to modify the Las Vegas Base Ticket Price when reasonably necessary or appropriate due to changes in:

  • venue rental and operating costs;
  • production costs;
  • Artist-related costs;
  • travel and accommodation costs;
  • labor costs;
  • insurance;
  • taxes or governmental charges;
  • payment processing costs;
  • technology or Platform operating costs;
  • market conditions;
  • capacity requirements;
  • or other material costs associated with producing or presenting an Activated Event.

Any revised Base Ticket Price applicable to an Artist Show Campaign shall be disclosed through the Platform or applicable checkout process before the applicable ticket purchase is completed.

15.3 Transition to Multi-Tier Pricing

Rebel Boom Live may, at its sole discretion, determine that a Las Vegas Show Campaign shall utilize the INthe-Q™ Multi-Tier Ticket Pricing System rather than a single Base Ticket Price. The Multi-Tier Pricing System may divide available ticket inventory into designated seating categories, including:

Seating Tier General Position
Premium Highest-value seating areas, generally closest to the stage
Preferred High-value seating areas immediately following Premium
Standard Central or mid-range seating areas
Value Rear or secondary seating areas
Economy Lowest-priced available seating areas

The number of seats allocated to each tier, the geographic location of each tier, and the price assigned to each tier may vary depending upon the venue, seating configuration, production requirements, capacity, market conditions, and other operational considerations. Where Multi-Tier Pricing is utilized, Rebel Boom Live shall establish the applicable pricing structure for the Show Campaign and shall identify the applicable Reservation Credit treatment through the Platform and checkout process.

15.4 Effect Upon Independent Artist Compensation

The Artist All-Inclusive Compensation Packages, consisting of the Bronze, Silver, Gold, Platinum, and Diamond compensation levels, are established specifically for the Independent Artist Show Campaign structure operated and produced by Rebel Boom Live and are based upon the economic assumptions associated with the applicable Las Vegas Show Campaign, including the current benchmark Base Ticket Price. The current compensation structure is designed around a Show Campaign of approximately 2,000 available seats, although Rebel Boom Live may determine that an Activated Event requires a venue capacity below or above 2,000 seats based upon verified demand, venue availability, production requirements, financial considerations, or other operational requirements. A change in the Base Ticket Price, implementation of Multi-Tier Pricing, or modification of venue capacity shall not automatically create a corresponding change to the Artist’s established Compensation Level unless Rebel Boom Live expressly modifies the applicable Compensation Level or the parties execute a separate written agreement.

15.5 Relocation of an Independent Artist Show Opportunity™

Where Rebel Boom Live determines that an Independent Artist Show Opportunity™ should be relocated from Las Vegas to another single market under the control, management, licensing authority, or production control of JCLV Enterprises LLC and/or Rebel Boom Live, the Company may establish a market-specific pricing structure appropriate to the destination market. The Artist acknowledges that ticket prices, venue costs, production costs, travel requirements, taxes, and other operating expenses may differ materially between markets. Accordingly, the $88.00 Las Vegas Base Ticket Price shall not constitute a guaranteed or mandatory ticket price for any relocated Show Opportunity™. Rebel Boom Live may establish a revised single-price structure or utilize the INthe-Q™ Multi-Tier Ticket Pricing System for the relocated Show Opportunity™, based upon the economic and operational requirements of the applicable market. Any relocation and corresponding pricing structure shall remain subject to the applicable Show Campaign terms and any additional written or electronic event-specific terms established by Rebel Boom Live.

15.6 GEM Artist Show Campaigns

The foregoing Las Vegas Base Ticket Price provisions and Independent Artist Compensation Levels do not apply to GEM Artist Show Campaigns except where expressly incorporated into a separate written agreement. All INthe-Q™ GEM (Global Enterprise Markets) Artist Show Campaigns shall utilize the INthe-Q™ Multi-Tier Ticket Pricing System. GEM pricing shall be established on a market-by-market basis according to the applicable venue capacity, seating configuration, market conditions, production requirements, local operating costs, and the economic terms negotiated between the GEM Company and the GEM Artist. GEM Artist compensation, guarantees, travel arrangements, production obligations, and other financial terms shall be established through confidential negotiations and separate agreement(s) between the GEM Company and the GEM Artist.

15.7 No Guaranteed Seating Price

The Artist acknowledges that INthe-Q™ is designed to permit seating, venue capacity, pricing, and production configurations to be determined according to verified demand and actual event requirements. Accordingly, neither the Artist nor any other party shall represent to Reservation Holders, Ticket Holders, or prospective purchasers that a particular ticket price, seating location, venue capacity, or pricing configuration is guaranteed unless that information has been expressly published by Rebel Boom Live through the INthe-Q™ Platform.

15.8 Authority to Adapt the Pricing Model

The Artist acknowledges that the ability to modify, restructure, or adapt ticket pricing is an essential component of the INthe-Q™ operating model. Rebel Boom Live therefore retains authority to determine whether a Show Campaign will utilize: the current Las Vegas Base Ticket Price structure; an adjusted Las Vegas Base Ticket Price; the INthe-Q™ Multi-Tier Ticket Pricing System; a market-specific pricing structure; or another pricing configuration expressly disclosed through the Platform. Any such pricing determination shall be made with the objective of maintaining the financial, operational, production, and commercial viability of the applicable Show Campaign.

Article 16

Five-Tier Ticket Pricing and Seat Selection

INthe-Q™ may utilize a five-tier ticket pricing structure for Activated Events where assigned seating is applicable.

The five seating and pricing categories are:

Tier Designation General Seating Position
Tier 1 Premium™ Highest-value seating, generally closest to the stage
Tier 2 Preferred™ High-value seating generally located immediately behind or adjacent to Premium seating
Tier 3 Standard™ Mid-level seating generally positioned within the central seating areas
Tier 4 Value™ Seating generally positioned farther from the stage
Tier 5 Economy™ Lowest-priced seating generally positioned in the more distant seating areas

The applicable allocation among tiers may vary according to:

  • venue configuration;
  • seat map;
  • sightlines;
  • venue capacity;
  • stage configuration;
  • production requirements;
  • market conditions;
  • and event-specific considerations.

The applicable tier prices shall be established by Rebel Boom Live or the authorized GEM Company, as applicable.

The five-tier structure is intended to provide a range of seating options while maintaining the applicable event-level average base ticket price established by the Platform or applicable GEM Campaign. Individual ticket prices therefore may be materially different from one another, even though the overall ticket inventory is designed around an applicable average base ticket price. Reservation credits or other applicable discounts shall be applied according to the Platform’s published terms.

Article 17

Travel Your Way™ / Travel Our Way™

For an Independent Artist Show Campaign, the Artist shall comply with the applicable travel provisions established by Rebel Boom Live.

A. Travel Your Way™

Under Travel Your Way™, the Artist is responsible for arranging and paying for travel, accommodation, meals, ground transportation, baggage, equipment transportation, and other travel-related expenses.

The applicable Artist Compensation Level shall not increase as a result of the Artist’s travel selections.

B. Travel Our Way™

Where offered and approved by Rebel Boom Live, Travel Our Way™ permits Rebel Boom Live to arrange or advance approved travel expenses subject to applicable limits.

Unless otherwise agreed in writing, travel arrangements may include:

  • economy-class airfare;
  • hotel accommodation;
  • meals;
  • ground transportation;
  • and reasonably necessary baggage or equipment transportation.

All approved advances shall be treated as part of, and deducted from, the applicable Artist Compensation Level unless otherwise expressly agreed in writing.

Travel provisions for GEM Artists shall be governed by the applicable confidential agreement between the Artist and GEM Company.

Article 18

Reserved Complimentary Admissions

Rebel Boom Live may establish a Reserved Complimentary Ticket Allocation for operational, promotional, hospitality, media, business development, Artist, venue, sponsor, production, or other legitimate purposes.

Unless otherwise established for an event, Rebel Boom Live may reserve up to twenty-five (25) complimentary admissions.

Reserved Complimentary Admissions:

  • are non-revenue admissions;
  • do not constitute ticket sales;
  • do not count toward applicable activation thresholds;
  • do not generate Artist Financial Support;
  • do not generate Platform revenue;
  • and are not included in compensation calculations unless expressly stated otherwise.

Unused complimentary inventory may be returned to paid inventory or otherwise allocated by Rebel Boom Live.

All complimentary admissions remain subject to venue capacity, safety, fire-code, and applicable legal requirements.

Article 19

VIP, Meet and Greet and Special Experiences

Meet & Greets, backstage access, VIP experiences, autograph sessions, photo opportunities, fan receptions, and other special Artist experiences are not automatically included in an INthe-Q™ Show Campaign. Such experiences may only be offered with prior written authorization from Rebel Boom Live. Any approved VIP or special experience may be subject to a separate agreement and operational requirements.

Article 20

Artist Performance Obligations

Upon activation and confirmation of an Independent Artist Show Campaign, the Artist agrees to perform as contracted.

Unless otherwise agreed in writing:

  • minimum performance duration shall be ninety (90) minutes;
  • maximum performance duration shall be one hundred twenty (120) minutes;
  • the Artist shall appear at the confirmed venue;
  • the Artist shall comply with reasonable production requirements;
  • the Artist shall comply with venue policies;
  • and the Artist shall perform professionally.

The Artist acknowledges that fans, venues, Rebel Boom Live, and business partners rely upon the Artist’s commitment to perform.

Article 21

Artist Personnel

Unless otherwise agreed, the Independent Artist Compensation structure is designed around a maximum of five (5) performing members.

Where an Artist uses more than five (5) performing members, the Artist shall be responsible for all additional personnel-related costs unless expressly agreed otherwise in writing.

The Artist remains solely responsible for:

  • musician compensation;
  • performer compensation;
  • crew compensation;
  • management;
  • agents;
  • commissions;
  • payroll;
  • and internal financial arrangements.
Article 22

Production Standards

Rebel Boom Live may establish reasonable production standards for an Independent Artist Show Campaign.

Such standards may include:

  • stage requirements;
  • sound;
  • lighting;
  • technical requirements;
  • load-in;
  • load-out;
  • rehearsals;
  • performance schedule;
  • safety;
  • insurance;
  • venue requirements;
  • backstage procedures;
  • hospitality;
  • and other production requirements.

The Artist may submit production requests for consideration.

Rebel Boom Live retains authority to approve, modify, negotiate, or decline production requests based upon:

  • budget;
  • venue capability;
  • safety;
  • technical feasibility;
  • event economics;
  • contractual requirements;
  • and overall event viability.
Article 23

Travel, Visa and Immigration Requirements

Artists performing outside their country of residence are solely responsible for providing accurate information and cooperating with applicable immigration, visa, work authorization, customs, and travel requirements. Rebel Boom Live may assist with reasonable documentation processes where appropriate. No visa, immigration approval, work authorization, or governmental approval is guaranteed. A governmental denial or delay may affect event scheduling or activation.

Article 24

Artist Promotional Participation and Intellectual Property

The Artist agrees to reasonably participate in promotional activities relating to the Artist’s Show Campaign.

The Artist may be asked to:

  • announce participation;
  • share campaign information;
  • promote the Reservation Campaign;
  • communicate with fans;
  • participate in interviews;
  • provide promotional materials;
  • and participate in reasonable promotional content.

The Artist retains ownership of their name, image, likeness, trademarks, music, recordings, photographs, videos, and other intellectual property.

The Artist grants Rebel Boom Live a limited, non-exclusive license to use approved Artist materials solely for:

  • INthe-Q™ promotion;
  • Show Campaign promotion;
  • event promotion;
  • Platform communications;
  • fan communications;
  • and related marketing.
Article 25

INthe-Q™ Community Social Media Agreement

Where INthe-Q™ provides Artist dashboard social media, community, sharing, invitation, profile, or related functionality, such functionality shall be governed by the INthe-Q™ Community Social Media Agreement, which is incorporated into this Agreement by reference.

The Artist agrees that use of such functionality is subject to:

  • the Community Social Media Agreement;
  • applicable Platform rules;
  • privacy requirements;
  • intellectual property requirements;
  • content standards;
  • and applicable law.

The Artist shall not use Platform community functionality to engage in fraud, harassment, unlawful activity, impersonation, unauthorized solicitation, or conduct designed to manipulate Reservation or ticket demand.

Article 26

Artist Code of Conduct and Platform Integrity

The Artist shall not use INthe-Q™ to facilitate:

  • unlawful activity;
  • fraud;
  • identity manipulation;
  • fraudulent Reservations;
  • fraudulent ticket purchases;
  • harassment;
  • threats;
  • hate-based conduct;
  • discriminatory conduct prohibited by law;
  • deceptive marketing;
  • or conduct reasonably likely to materially damage the integrity of the Platform.

The Artist acknowledges that accurate demand information is fundamental to INthe-Q™.

Any intentional manipulation of demand data may result in immediate suspension or termination.

Article 27

Political and Social Campaign Restrictions

INthe-Q™ is an entertainment and fan participation platform.

The Artist shall not use the Platform to:

  • solicit political contributions;
  • operate political fundraising campaigns;
  • misrepresent a Show Campaign as a political initiative;
  • or otherwise use the Platform for unauthorized political fundraising.

The Artist’s use of funds after lawful receipt remains the Artist’s responsibility, subject to applicable law.

Article 28

Cancellation, Rescheduling and Artist Default

Live entertainment involves circumstances outside the control of the parties.

An event may be affected by:

  • force majeure;
  • government restrictions;
  • venue closure;
  • travel interruption;
  • illness;
  • injury;
  • emergency;
  • governmental action;
  • weather;
  • or other circumstances beyond reasonable control.

Where reasonably possible, the parties shall cooperate regarding rescheduling. If cancellation results from the Artist’s material breach, failure to appear, unreasonable refusal to perform, failure to maintain required travel documentation, fraudulent conduct, or other material default, the Artist may be responsible for damages and costs incurred by Rebel Boom Live to the extent permitted by law.

Article 29

Artist Financial and Tax Responsibility

The Artist is solely responsible for:

  • federal taxes;
  • state taxes;
  • provincial taxes;
  • local taxes;
  • international taxes;
  • reporting requirements;
  • business taxes;
  • payroll obligations;
  • and other applicable financial obligations.

Rebel Boom Live does not provide tax advice to the Artist.

Article 30

Confidentiality of GEM Commercial Terms

Where the Artist participates through GEM, the Artist acknowledges that commercial terms negotiated between the Artist and GEM Company may be confidential.

Such confidential terms may include:

  • guarantees;
  • compensation;
  • revenue participation;
  • performance fees;
  • travel arrangements;
  • production budgets;
  • negotiated rates;
  • and other commercial information.

The Artist agrees to comply with any confidentiality obligations contained in the applicable GEM Artist agreement or commercial agreement.

Article 31

No Guarantee of Performance Opportunity

Participation in INthe-Q™ does not guarantee:

  • reservations;
  • ticket purchases;
  • event activation;
  • venue availability;
  • event scheduling;
  • Artist compensation;
  • GEM participation;
  • future engagements;
  • or any specific financial result.

The Artist acknowledges that INthe-Q™ is designed to measure demand rather than guarantee demand.

Article 32

Platform Suspension and Termination

Rebel Boom Live may suspend or terminate Artist participation where reasonably necessary to protect:

  • fans;
  • Artists;
  • payment processors;
  • venues;
  • GEM Companies;
  • business partners;
  • Platform integrity;
  • or legal and regulatory compliance.

Grounds may include:

  • fraud;
  • identity misrepresentation;
  • material breach;
  • failure to complete verification;
  • fraudulent demand manipulation;
  • unlawful conduct;
  • material reputational risk;
  • payment processor restrictions;
  • or violation of Platform agreements.
Article 33

Indemnification

To the fullest extent permitted by law, the Artist agrees to indemnify, defend, and hold harmless JCLV Enterprises LLC, Rebel Boom, Rebel Boom Live, INthe-Q™, their affiliates, officers, employees, contractors, agents, partners, and representatives from claims, liabilities, damages, losses, costs, and expenses arising from:

  • Artist conduct;
  • Artist materials;
  • Artist intellectual property;
  • breach of this Agreement;
  • fraudulent conduct;
  • inaccurate information;
  • Artist personnel;
  • Artist taxes;
  • Artist contractual obligations;
  • or violation of applicable law.
Article 34

Limitation of Liability

To the fullest extent permitted by applicable law, Rebel Boom Live shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from:

  • Platform participation;
  • campaign performance;
  • insufficient demand;
  • cancellation;
  • venue availability;
  • payment processor actions;
  • Artist travel issues;
  • or other matters outside the reasonable control of Rebel Boom Live.

Nothing in this Agreement shall exclude liability that cannot legally be excluded.

Article 35

No Fiduciary Relationship

Nothing in this Agreement creates a fiduciary relationship between the Artist and Rebel Boom Live.

The Artist acknowledges that Rebel Boom Live operates the INthe-Q™ Platform as an independent commercial enterprise.

Article 36

No Assignment by Artist

The Artist may not assign, transfer, sublicense, or delegate this Agreement or the Artist’s participation rights without the prior written approval of Rebel Boom Live. Rebel Boom Live may assign or transfer this Agreement to an affiliate, successor, purchaser, or other entity in connection with a corporate restructuring, merger, acquisition, sale, financing, or transfer of Platform operations.

Article 37

Force Majeure

Neither party shall be liable for failure to perform caused by circumstances beyond reasonable control, including:

  • natural disasters;
  • war;
  • terrorism;
  • governmental action;
  • civil unrest;
  • pandemic;
  • venue closure;
  • transportation disruption;
  • power failure;
  • communication failure;
  • labor disruption;
  • or other comparable circumstances.
Article 38

Notices and Official Communications

Official communications may be delivered electronically through:

  • the INthe-Q™ Platform;
  • designated Artist dashboard;
  • registered email address;
  • or another authorized electronic communication method.

The Artist is responsible for maintaining accurate contact information.

Article 39

Electronic Records

The Artist agrees that electronic records maintained by INthe-Q™ may constitute evidence of:

  • registration;
  • acceptance;
  • campaign activation;
  • Reservation activity;
  • ticket activity;
  • communications;
  • notices;
  • and other Platform transactions.
Article 40

Digital Signature and Agreement Execution

The Artist may execute this Agreement through the digital signature functionality incorporated into the INthe-Q™ Platform. Upon execution, the Platform may generate an executed PDF copy containing applicable execution information. The executed Agreement may be delivered electronically to the Artist’s designated email address. The Artist represents and warrants that the person executing the Agreement has authority to bind the Artist. The electronic signature shall have the same legal effect as a handwritten signature to the fullest extent permitted by applicable law.

Article 41

Governing Law

This Agreement shall be governed by and construed under the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Article 42

Dispute Resolution

The parties shall first attempt in good faith to resolve disputes informally. If a dispute cannot be resolved, it shall be submitted to binding arbitration in Nevada in accordance with the applicable arbitration provisions incorporated into the Master Platform Agreement, except where prohibited by applicable law. The parties agree that arbitration may be conducted remotely.

Article 43

Class Action Waiver

To the fullest extent permitted by applicable law, the Artist agrees that disputes shall be brought on an individual basis and not as part of a class, collective, or representative action. Nothing herein shall waive a right that cannot legally be waived.

Article 44

Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.

Article 45

Waiver

Failure by Rebel Boom Live to enforce any provision of this Agreement shall not constitute a waiver of the right to enforce that provision in the future.

Article 46

Modification of Platform Procedures

Rebel Boom Live may modify Platform procedures, technology, workflows, operational requirements, or functionality as reasonably necessary to operate, improve, secure, or comply with applicable requirements governing INthe-Q™. Material contractual modifications affecting the Artist’s existing obligations shall be governed by the amendment provisions of the applicable Agreement.

Article 47

Entire Agreement

This Agreement, together with:

constitutes the complete contractual framework governing the Artist’s participation in INthe-Q™, to the extent applicable. This Agreement supersedes prior Artist participation agreements and prior representations concerning Artist participation unless expressly preserved in writing.

Article 48

Order of Precedence

Where multiple INthe-Q™ agreements apply to an Artist, the following order shall generally govern:

  • Event-specific written agreement;
  • applicable GEM Artist agreement, where applicable;
  • Artist Participation Agreement;
  • Master Platform Agreement;
  • Community Social Media Agreement;
  • general Platform policies and procedures.

Where a more specific agreement expressly addresses a particular subject, that agreement shall control that subject.

Article 49

Survival

Provisions concerning:

  • confidentiality;
  • intellectual property;
  • indemnification;
  • limitation of liability;
  • dispute resolution;
  • governing law;
  • taxes;
  • electronic records;
  • and other provisions intended by their nature to survive termination;

shall survive termination or expiration of this Agreement.

Article 50 — Final Artist Acknowledgment

By electronically executing this Agreement, the Artist acknowledges and confirms that:

  • the Artist has completed or will complete AIVA as required;
  • all information supplied to INthe-Q™ is accurate;
  • the Artist understands the distinction between an Independent Artist Show Campaign and a GEM Artist Campaign;
  • the Artist understands that the Bronze–Diamond Compensation Levels apply only to the Independent Artist Show Campaign pathway;
  • the Artist understands that GEM Artist compensation is separately negotiated with the applicable GEM Company;
  • the Artist understands that participation does not guarantee an event;
  • the Artist understands the applicable Reservation and ticket-conversion process;
  • the Artist agrees to comply with Platform requirements;
  • the Artist understands the Artist’s tax and business responsibilities;
  • the Artist understands the electronic execution process;
  • and the Artist agrees to be legally bound by this Agreement and the applicable incorporated agreements.

By completing the digital signature process and selecting the applicable acceptance confirmation, the Artist confirms:

“I have read, understand, and agree to the INthe-Q™ Artist Participation Agreement and all applicable incorporated agreements.”

The completed electronic execution shall constitute the Artist’s legally binding acceptance to the fullest extent permitted by applicable law.
