This Artist Identity Verification Application Pre-Approval Terms & Conditions Agreement (“AIVA Agreement”) is entered into by and between
JCLV Enterprises LLC, a Nevada Limited Liability Company, doing business as
Rebel Boom and
Rebel Boom Live (“Company,” “Rebel Boom Live,” “INthe-Q™,” or “Platform”), and the individual, band, group, artist entity, management company, entertainment company, entertainment representative, or authorized applicant submitting an Artist Identity Verification Application (“Applicant” or “Artist”).
By submitting an AIVA Application, Applicant acknowledges and agrees to the terms contained herein.
Article 1
Purpose of Artist Identity Verification Application (AIVA)
The Applicant acknowledges that the INthe-Q™ Artist Identity Verification Application (“AIVA”) is a required pre-approval process designed to verify the identity, authenticity, authority, and eligibility of individuals or entities seeking participation on the INthe-Q™ platform.
The purpose of AIVA is to protect:
- Artists;
- Fans;
- Reservation Holders;
- Entertainment Partners;
- Promoters;
- Venues;
- Ticketing partners;
- Enterprise partners;
- and Rebel Boom Live.
The Applicant acknowledges that AIVA is intended to reduce the risk of:
- (a) impersonation;
- (b) fraudulent Artist profiles;
- (c) unauthorized representation;
- (d) misleading campaign submissions;
- (e) misuse of the INthe-Q™ platform;
- (f) fraudulent collection of reservation-related payments or revenue participation.
AIVA is an identity verification and due diligence process and is not an evaluation of artistic quality, popularity, genre, commercial success, social media following, or likelihood of campaign success.
Article 2
No Guarantee of Approval or Platform Participation
Submission of an AIVA Application does not guarantee:
- (a) approval;
- (b) registration;
- (c) creation of an INthe-Q™ account;
- (d) activation of a Show Campaign;
- (e) acceptance into INthe-Q™ GEM;
- (f) availability of a Reservation Campaign;
- (g) achievement of reservation goals;
- (h) ticket sales;
- (i) Event production;
- (j) financial compensation.
All approval decisions shall remain at the sole and absolute discretion of Rebel Boom Live.
The Company reserves the right to approve, deny, delay, request additional information, or terminate an application at any time.
Article 3
Identity, Authority, and Representation Verification
The Applicant represents and warrants that:
- (a) all information submitted through AIVA is accurate, complete, and truthful;
- (b) the Applicant has the legal authority to submit the application;
- (c) the Applicant is authorized to represent the Artist, band, group, entertainment entity, or organization identified in the application;
- (d) the Applicant is not impersonating another Artist, entity, or representative;
- (e) all social media accounts, websites, and references submitted belong to or are legitimately associated with the Applicant.
The Company may request additional verification including, without limitation:
- government identification;
- business registration information;
- management authorization;
- artist representative confirmation;
- social media verification;
- telephone or video verification;
- additional documentation deemed reasonably necessary.
Article 4
Approval Process and Authorized Communication
An Applicant shall only be considered approved after receiving official confirmation through authorized Company communication channels.
The Company may provide approved Applicants with secure registration instructions, activation credentials, or other access methods necessary to continue the INthe-Q™ onboarding process.
Applicants acknowledge that:
- (a) no individual employee, contractor, representative, or third party may independently approve participation;
- (b) verbal statements or informal communications do not constitute approval;
- (c) only official Company authorization creates eligibility to proceed.
Article 5
INthe-Q™ Platform Purpose and Limitations
The Applicant acknowledges and agrees that INthe-Q™ is a demand discovery platform designed to measure fan demand and validate market interest for potential live entertainment opportunities.
INthe-Q™:
- (a) does not operate as a ticketing company;
- (b) does not sell tickets;
- (c) does not guarantee Event production;
- (d) does not guarantee venue booking;
- (e) does not guarantee Artist compensation;
- (f) does not guarantee reservation conversion;
- (g) does not act as the Artist’s booking agent, manager, promoter, or representative unless separately agreed in writing.
Any ticket purchases, if applicable, are completed through approved third-party ticketing providers selected for the applicable Event.
Article 6
Information Accuracy and Fraud Prevention
The Applicant acknowledges that providing false, misleading, incomplete, or fraudulent information may result in:
- (a) immediate rejection;
- (b) removal from the Platform;
- (c) cancellation of campaigns;
- (d) forfeiture of platform privileges;
- (e) legal action where appropriate.
Article 7
No Expectation or Reliance
The Applicant acknowledges that submission of an AIVA Application creates no expectation, promise, guarantee, or reliance regarding:
- approval;
- campaign performance;
- fan participation;
- revenue;
- ticket sales;
- Event opportunities;
- enterprise partnerships.
The Applicant voluntarily submits an AIVA Application with full understanding that participation is subject to approval and ongoing compliance with INthe-Q™ agreements and policies.
Article 8
Indemnification
The Applicant agrees to indemnify, defend, and hold harmless Rebel Boom Live, JCLV Enterprises LLC, INthe-Q™, and their affiliates, officers, employees, contractors, partners, and representatives from claims arising from:
- (a) inaccurate information submitted by Applicant;
- (b) unauthorized representation;
- (c) violation of third-party rights;
- (d) fraud or misrepresentation;
- (e) breach of this Agreement.
Article 9
Governing Law, Arbitration, and Jurisdiction
This Agreement shall be governed by the laws of the State of Nevada, United States of America.
Any dispute arising from this Agreement shall be resolved through confidential binding arbitration in Nevada under applicable arbitration rules.
The Applicant agrees:
- Nevada shall be the exclusive jurisdiction;
- arbitration may occur remotely;
- class actions are waived;
- jury trial rights are waived;
- awards may be enforced internationally.
Article 10
Modifications
Rebel Boom Live reserves the right to modify, update, suspend, or discontinue the AIVA process at any time.
✍ Article 11 — Electronic Acceptance
By submitting an AIVA Application, Applicant confirms:
- (a) they have reviewed this Agreement;
- (b) they understand the purpose of AIVA;
- (c) they agree to be legally bound by these terms;
- (d) their electronic submission constitutes acceptance of this Agreement.
